Misrepresentation etc. Any and all Liabilities arising out of or related to any breach of the agreements, representations, warranties, or covenants by Seller in this Agreement, provided, however, that Purchaser's right to indemnification hereunder for Liabilities arising out of or related to any breach of such Seller's representations and warranties shall be limited to claims asserted by Purchaser in accordance with Section 16.3 hereof during the period during which said representations and warranties survive the Closing provided under Section 15 hereof.
