MODIFICATION BY OPERATION OF LAW. If any of the terms or provisions of this Agreement are in or come into conflict with any applicable law within the Territory then such term or provision shall be deemed inoperative to the extent it may conflict therewith and shall be deemed to be modified to conform with such law unless such modification would render the affected provision inconsistent with or contrary to the intent of the parties. However, in the event the terms and conditions of this Agreement are materially altered as a result of this subsection, the parties shall in good faith attempt to renegotiate said terms and conditions to resolve any disputes related thereto. Should they be unable to agree on suitable substantial language the issue shall be referred to arbitration pursuant to Section 11.1.

In the event that changes in Applicable Laws materially impact the enforceability or operation of this Agreement, the Parties shall negotiate in good faith to amend this Agreement to preserve the benefits of this Agreement to each Party; provided that this Agreement shall in all circumstances be enforced and implemented to the fullest extent permitted by Applicable Laws, even if no such amendment is agreed to by the Parties.
