Modification of Certain Provisions. 5.1. Section 1.01 of each SPA is hereby modified by restating the definition of Consolidated Net Income in its entirety to read as follows: "Consolidated Net Income for any period means the consolidated net income (or loss) of the Issuer and its Subsidiaries for such period determined on a consolidated basis in accordance with GAAP; provided that there shall be excluded therefrom: (a) the net income (or loss) of (i) any Person that is not a Subsidiary of the Issuer, and (ii) Interactive and its Subsidiaries, except to the extent of the amount of dividends or other distributions actually paid to the Issuer or a Subsidiary of the Issuer by such Person during such period, (b) gains or losses on Asset Sales by the Issuer or its Subsidiaries, (c) all extraordinary gains and extraordinary losses, (d) the cumulative effect of changes in accounting principles, (e) any net income of any Subsidiary (other than Interactive and its Subsidiaries) if such Subsidiary is subject to restrictions, directly or indirectly, by contract, operation of law, pursuant to its charter or otherwise on the payment of dividends or the making of distributions by such Subsidiary to such Person except that: (i) such Person's equity in the net income of any such Subsidiary for such period shall be included in such Consolidated Net Income up to the aggregate amount of cash that could have been paid or distributed during such period to such Person as a dividend or other distribution (provided that such ability is not due to a waiver of such restriction), and (ii) such Person's equity in a net loss of any such Subsidiary for such period shall be included in determining such Consolidated Net Income regardless of any such restriction, (f) in the case of a successor to such Person by consolidation or merger or as a transferee of such Person's assets, any net income or loss of the successor corporation prior to such consolidation, merger or transfer of assets; and (g) the tax effect of any of the items described in clauses (a) through (f) above." Section 1.01 of each SPA is hereby further modified by inserting, in the appropriate place designated by alphabetical order, the following new definition: "'Interactive' means Interactive Network, Inc., a Nevada corporation."
Modification of Certain Provisions. At the election of Landlord, any or all provisions pertaining to the REIT status of Ventas, Inc. or other entity in Landlord’s organizational structure shall not be included in the New Lease. In addition, Landlord may delete and eliminate from such New Lease such provisions from the Original Lease as it reasonably determines to be required, and make such other conforming changes, based on the later date of the New Lease (including changed circumstances such as a different ownership structure), provided such deletions, eliminations and conforming changes do not materially alter the terms under which the Tenant leases the Transferred Property as set forth in the Original Lease immediately prior to the Property Transfer Date.

  • Modification of Certain Agreements Each Credit Party will not, and will not permit any of its Subsidiaries or Affiliates to, consent to any amendment, supplement, waiver or other modification of, or enter into any forbearance from exercising any rights with respect to the terms or provisions contained in (a) any Organization Documents of a Credit Party, in each case, other than any amendment, supplement, waiver or modification or forbearance that could not reasonably be expected to be materially adverse to the interests of the Secured Parties (except with the consent of the Required Lenders) or if required by law, (b) any document, agreement or instrument evidencing or governing any Indebtedness that has been subordinated to the Obligations in right of payment or secured by any Liens that have been subordinated in priority to the Liens of Agent unless such amendment, supplement, waiver or other modification is permitted under the terms of the subordination or intercreditor agreement applicable thereto or could not reasonably be expected to be materially adverse to the interests of the Secured Parties (it being understood that the foregoing shall not prohibit the refinancing, replacement or exchange of such Indebtedness), or (c) the Acquisition Agreement and the Ancillary Agreements (as defined in the Acquisition Agreement) (collectively, the “Acquisition Documents”), in each case, other than any amendment, supplement, waiver or modification or forbearance that could not reasonably be expected to be adverse to the interests of the Secured Parties (except with the consent of the Required Lenders); provided, that, any amendment, supplement, waiver or modification or forbearance of the Acquisition Documents such that any Credit Party or any of their Subsidiaries become directly or indirectly liable with respect to the Deferred Purchase Price shall be deemed adverse to the interests of the Secured Parties.

  • Benefit of Certain Provisions The Borrower agrees that each Participant shall be deemed to have the right of setoff provided in Section 11.1 in respect of its participating interest in amounts owing under the Loan Documents to the same extent as if the amount of its participating interest were owing directly to it as a Lender under the Loan Documents, provided that each Lender shall retain the right of setoff provided in Section 11.1 with respect to the amount of participating interests sold to each Participant.   • Survival of Certain Provisions The covenants and agreements set forth in Section 4.1, Section 4.2 and Section 5.2 shall survive the Termination of the Company.
