Modification or Breach of Agreements; New Agreements. Company shall not terminate or modify, or commit or cause or suffer to be committed any act that will result in breach or violation of any term of or (with or without notice or passage of time, or both) constitute a default under or otherwise give any Person a basis for nonperformance under, any Material Contract, written or oral, disclosed in this Agreement or the Schedules hereto. Company shall refrain from becoming a party to any contract or commitment other than in the Ordinary Course of Business. Company shall meet all of its contractual obligations in accordance with their respective terms.

Seller shall refrain from becoming a party to any contract or commitment in connection with the Business other than in the usual and ordinary course of the Business or as contemplated hereby. Seller shall cause the Business to meet all its contractual obligations in accordance with their respective terms.

Seller shall not become a party to any contract or commitment other than in the ordinary course. Seller shall meet all of its contractual obligations in accordance with their respective terms.

Seller shall not terminate or modify, or commit or cause or suffer to be committed any act that will result in any breach or violation of or constitute a default under (with or without notice or passage of time, or both) or otherwise give any Person a basis for nonperformance under, any Purchased Contract. Seller shall not become a party to any contract or commitment related to the Business other than in the ordinary course of business consistent with past practice or with respect to Excluded Contracts which are not identified as Inactive Contracts on Schedule 2.8. Seller shall meet all of its contractual obligations with respect to the Purchased Contracts in accordance with their respective terms.

Such Constituent Corporation shall not terminate or modify, or commit or cause or suffer to be committed any act that will result in breach or violation of any term of or (with or without notice or passage of time, or both) constitute a default under or otherwise give any person a basis for nonperformance under, any indenture, mortgage, deed of trust, loan or credit agreement, lease, license or other agreement, instrument, arrangement or understanding, written or oral, disclosed in this Agreement or the Schedules hereto. Such Constituent Corporation shall refrain from becoming a party to any contract or commitment other than in the ordinary course. Such Constituent Corporation shall meet all of its contractual obligations in accordance with their respective terms.

The Shareholder shall not permit the Company to terminate or modify, or commit or cause or suffer to be committed any act (other than an act required by the terms of this Agreement) that will result in breach or violation of any term of, or (with or without notice or passage of time, or both) constitute a default under or otherwise give any person a basis for nonperformance under, any indenture, mortgage, deed of trust, loan or credit agreement, lease, license or other agreement, instrument, arrangement or understanding, written or oral, disclosed in this Agreement or the Schedules hereto. The Shareholder will not permit the Company to become a party to any contract or commitment other than in the Ordinary Course. Subject to any requirement within this Agreement, the Shareholder will cause the Company to meet all of its contractual obligations in accordance with their respective terms.

Except in the Ordinary Course, the Company shall not terminate or modify, or commit or cause or suffer to be committed any act that will result in a breach or violation of any material term of, or (with or without notice or passage of time, or both) constitute a default under or otherwise give any person a basis for non-performance under, any indenture, mortgage, deed of trust, loan or credit agreement, or other agreement, instrument, lease, license, arrangement or understanding, written or oral, disclosed in this Agreement or the Schedules hereto. The Company shall refrain from becoming a party to any contract or commitment other than in the Ordinary Course. The Company shall, in all material respects, meet all of its contractual obligations in accordance with their respective terms. 49
