Modification; Prior Claims. This Agreement sets forth the entire understanding of the parties with respect to the subject matter hereof, supersedes all existing agreements between them concerning such subject matter, including, without limitation, the Original Agreement, and may be modified only by a written instrument duly executed by each party.

This Agreement and the Proprietary Information and Inventions Agreement (and the other documents referenced therein) set forth the entire understanding of the parties with respect to the subject matter hereof, and supersede all existing agreements between them concerning such subject matter, including the Prior Agreement. For the sake of clarity, any Stock Awards agreements to which the Company and Executive are bound on the date hereof shall remain in effect in accordance with their respective terms, except as modified by Section 5. Employee hereby waives any claims that may exist on the date hereof arising from his prior employment, if any, with the Company, other than for compensation payable or reimbursement of reasonable expenses, all as incurred in the ordinary course of business.

This Agreement and the Stock Option Agreement set forth the entire understanding and agreement of the parties with respect to the subject matter hereof, supersede all existing agreements, arrangements or understandings, whether oral or written, between them concerning such subject matter, and may be modified only by a written instrument duly executed by each party. Except as otherwise specifically provided for in this Agreement, Employee hereby agrees and acknowledges that any and all compensation, reimbursement or other obligations or liabilities of Company due to Employee prior to the effective date of this Agreement have been received and satisfied in full by Company and Employee hereby waives and releases any claims which he may have relating thereto or resulting therefrom.

This Agreement and the Employment Agreement as modified herein, set forth the entire understanding of the parties with respect to the subject matter hereof and supersede all existing agreements between them concerning such subject matter. Except as preserved by express reference in this Agreement, the Employment Agreement shall be superseded entirely by this Agreement and such agreements shall be terminated and be of no further force or effect. This Agreement may be amended or modified only with the written consent of Executive and an authorized representative of the Company. No oral waiver, amendment or modification will be effective under any circumstances whatsoever.

This Agreement and the Employee Proprietary Information and Inventions Agreement set forth the entire understanding of the parties with respect to the subject matter hereof, and supersede all existing agreements between them concerning such subject matter, including, without limitation, any employment agreement or offer letter executed by the Company and Executive in effect prior to the Effective Date including that certain Agreement for Acceleration and/or Severance effective as of March 11, 2015, between the Company and the Executive and any previous employment agreement between the Company and Executive. This Agreement may be amended or modified only with the written consent of Executive and an authorized representative of the Company. No oral waiver, amendment or modification will be effective under any circumstances whatsoever.

This Agreement, together with all agreements referenced herein and all written plans or agreements evidencing Executive’s Stock Awards, sets forth the entire understanding of the parties with respect to the subject matter hereof, supersedes all existing agreements between them concerning such subject matter, including, without limitation, the Prior Agreement, and may be modified only by a written instrument duly executed by each party.

No oral waiver, amendment or modification will be effective under any circumstances whatsoever.
