N o Agency. Although Veeam may refer to a VCSP as a “partner”, the relationship of the parties under this Agreement for any and all purposes is that of independent contractors, or vendor (Veeam) and customer (VCSP). Neither party will be deemed to be an employee, agent, partner, franchisee, joint venture, or legal representative of the other for any purpose, and neither party will have any authority to bind the other, create any obligation or responsibility for or on behalf of the other, or to vary or offer any additional terms, conditions, representations, warranties, or covenants made by the other. There is no fiduciary duty between Veeam and the VCSP or any of its personnel.
N o Agency. The Agreement is not intended to and does not create any agency, legal partnership, or other form of joint enterprises between the parties, and neither party has the authority to bind or incur any obligation on behalf of the other.
N o Agency. The Looker Trial Agreement does not create any agency, partnership, or joint venture between the parties.

N o Agency. Dealer and Pinnacle acknowledge that they are not agents for one another and therefore they are not bound by any agreements made by one another with third parties unless prior written approval has been given by the party sought to be bound. Dealer and Pinnacle each specifically agrees to indemnify, defend and hold the other harmless for, from and against any damages the other may incur as a result of claims made by any third party in contravention of this paragraph, including recovery of any expenses and attorney fees incurred by either party to defend against such claims.
