No Agency or Trust. In acting under this Agreement the Agents shall have no obligation towards or relationship of agency or trust with the holder of any Note, Receipt, Coupon or Talon.

The Agent shall be entitled not to take any actions under this Agreement, without liability, if conflicting, unclear or equivocal instructions are received from the Issuer, provided that the Agent shall continue to use its reasonable endeavours to contact the Issuer to seek non-conflicting, clear and unequivocal instructions.

In acting under this Agreement the Agents shall have no obligation towards or relationship of agency or trust with any Noteholder and act solely as agent of the Issuer and the Guarantor and shall only perform the duties set out specifically in this Agreement and the Conditions and no implied duties shall be read into this Agreement or the Notes against the Agents. None of the Agents shall be under any obligation to take any action hereunder which may involve it incurring any expense or liability, the payment or indemnification of which is not assured to it. No Agent shall be responsible for or liable in respect of the legality, validity or enforceability of any Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Global Registered Note or Individual Note Certificate or any act or omission of any other person (including, without limitation, any other Agent).
No Agency or Trust. In acting hereunder and in connection with the Bonds, the Agents shall act solely as agents of the Company (or, where a notice given by the Trustee pursuant to Clause 5.6 shall not have been withdrawn, the Trustee) and will not thereby assume any obligations towards, or relationship of agency or trust for, any of the Bondholders.
No Agency or Trust. In acting under this Agreement or any other Transaction Document, the Agents shall have no obligation towards or relationship of agency or trust with the holder of any ETP Security of the relevant Series of ETP Securities.
No Agency or Trust. In acting under this Agreement, neither Account Bank shall have any obligation towards or relationship of agency or trust with any Noteholder and need only perform the duties set out specifically in this Agreement and the relevant Mandate and shall have no implied duties.

The Portfolio Administrator shall n o t have any obligation towards or relationship of agency or trust with any ETP Securityholder and shall be responsible only for the performance of the duties and obligations expressly imposed upon it under this Agreement and in the Conditions of the ETP Securities. The Portfolio Administrator shall not be under any obligation to take any action hereunder which may tend to involve it in any expense or liability, the payment of which within a reasonable time is not, in its reasonable opinion, assured to it.
