Nature of Obligations Between Partners. The Partners, acting together through their duly authorized representatives, shall have the authority to act for and assume any obligation on behalf of the Joint Venture. Except as otherwise provided in any Transaction Agreement or by written agreement between the Partners, neither Partner shall have any authority to act for or assume any obligation or responsibility on behalf of the other Partner or the Joint Venture.

Nature of Obligations Between Partners. Except as otherwise provided in this Agreement, a Partner shall not act for, or assume any obligation or responsibility on behalf of, any other Partner or the Partnership. Each Partner hereby acknowledges, as among the Partners and the Partnership, a personal responsibility for its respective Percentage Interest of the liabilities and obligations of the Partnership incurred in accordance with the terms of this Agreement, except as otherwise expressly provided in this Agreement. In furtherance of the foregoing, if a Partner, pursuant to a final judgment of a court of applicable jurisdiction, pays any amount on behalf or for the account of the Partnership with respect to (i) any liability, obligation, undertaking, damage or claim for which the Partnership shall or may, pursuant to this Agreement or other contract or applicable law, be liable or responsible, or (ii) making good any loss or damage sustained by, or paying any duty, cost, claim or damage incurred by, the Partnership (such items referenced in clauses (i) and (ii) above called "Liabilities"), then the Partnership shall reimburse such Partner for the amount so paid by that Partner. If the Partnership fails fully to reimburse the paying Partner, the other Partner (a "Reimbursing Partner") shall indemnify the paying Partner by paying to it an amount necessary to cause the Reimbursing Partner to have incurred its Percentage Interest of the excess of (x) the aggregate payments by the paying Partner as to such Liabilities over (y) the aggregate reimbursement, if any, which the paying Partner has received from the Partnership as to such payments. For purposes of this Article 13, all Liabilities arising as a result of the insufficiency of any reserve established in connection with the dissolution of the Partnership shall in each case be deemed to be Liabilities of the Partnership.

  • Continuing Nature of this Agreement; Severability Subject to Section 6.04, this Agreement shall continue to be effective until the Discharge of Senior Obligations shall have occurred. This is a continuing agreement of Lien subordination, and the Senior Secured Parties may continue, at any time and without notice to the Second Priority Representatives or any Second Priority Debt Party, to extend credit and other financial accommodations and lend monies to or for the benefit of the Company or any Subsidiary constituting Senior Obligations in reliance hereon. The terms of this Agreement shall survive and continue in full force and effect in any Insolvency or Liquidation Proceeding. Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall not invalidate the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction. The parties shall endeavor in good-faith negotiations to replace the invalid, illegal or unenforceable provisions with valid provisions the economic effect of which comes as close as possible to that of the invalid, illegal or unenforceable provisions.

  • Relationship Between Parties Each party will be deemed to represent to the other party on the date on which it enters into a Transaction that (absent a written agreement between the parties that expressly imposes affirmative obligations to the contrary for that Transaction):

  • Effectiveness; Continuing Nature of this Agreement; Severability This Agreement shall become effective when executed and delivered by the parties hereto. All references to any Obligor shall include such Obligor as debtor and debtor-in-possession and any receiver, trustee or similar Person for any Obligor (as the case may be) in any Insolvency or Liquidation Proceeding.   • Information Concerning the Fund and SubAdviser From time to time as the Adviser or the Fund may request, the SubAdviser will furnish the requesting party information and reports on portfolio transactions and reports on Fund assets held in the portfolio, all in such detail, form and frequency as the Adviser or the Fund may reasonably request.   • Non-Exclusive Management Sub-Adviser, its officers, employees, and agents, may have or take the same or similar positions in specific investments for their own accounts, or for the accounts of other clients, as the Sub-Adviser does for the Fund. Adviser expressly acknowledges and understands that Sub-Adviser shall be free to render investment advice to others and that Sub-Adviser does not make its investment management services available exclusively to Adviser or the Fund. Nothing in this Agreement shall impose upon the Sub-Adviser any obligation to purchase or sell, or to recommend for purchase or sale, for the Fund any security which the Sub-Adviser, its principals, affiliates or employees, may purchase or sell for their own accounts or for the account of any other client, if in the reasonable opinion of the Sub-Adviser such investment would be unsuitable for the Fund or if the Sub-Adviser determines in the best interest of the Fund such purchase or sale would be impractical.
