New York Law Governs. The Contract shall be governed by and construed in accordance with the laws of the State of New York.
New York Law Governs. THE INTERNAL LAW OF THE STATE OF NEW YORK SHALL GOVERN AND BE USED TO CONSTRUE THIS SUPPLEMENTAL INDENTURE WITHOUT GIVING EFFECT TO APPLICABLE PRINCIPLES OF CONFLICTS OF LAW TO THE EXTENT THAT THE APPLICATION OF THE LAWS OF ANOTHER JURISDICTION WOULD BE REQUIRED THEREBY.
New York Law Governs. It is mutually agreed that all questions and issues relating to the validity of or performance under this Agreement shall be governed by the laws of the State of New York. The parties hereto have caused their duly authorized officers to execute this Agreement and deliver it to the other as of the Effective Date.

Any judicial proceeding brought by any of the Obligors with respect to any of the Obligations, this Agreement, the other Loan Documents or any related agreement shall be brought in any state or federal court of competent jurisdiction located in the City of New York, New York County, State of New York, and, by execution and delivery of this Agreement, each of the Obligors accepts for itself and in connection with its properties, generally and unconditionally, the exclusive jurisdiction of the aforesaid courts, and irrevocably agrees to be bound by any judgment rendered thereby in connection with this Agreement. Service of process of any such proceeding may be made upon any of the Obligors by mail at the address set forth in the Loan Documents for such party. Nothing herein shall affect the right to serve process in any manner permitted by law or shall limit the right of the Bank to bring proceedings against any of the Obligors or other party in the courts of any other jurisdiction. Each of the Obligors waives any objection to jurisdiction and venue of any action instituted hereunder and shall not assert any 'defense based on lack of jurisdiction or venue or based upon forum non conveniens.' Each of the Obligors waives the right to remove any judicial proceeding brought against such Obligor in any state court to any federal court.
