No Assignments or Subcontracts. (a) In general. A consideration of this Agreement is the personal reputation of CONTRACTOR; therefore, CONTRACTOR shall not assign any interest in this Agreement or subcontract any of the services CONTRACTOR is to perform hereunder without the prior written consent of COUNTY, which shall not be unreasonably withheld. The inability of the assignee to provide personnel equivalent in experience, expertise, and numbers to those provided by CONTRACTOR, or to perform any of the remaining services required under this Agreement within the same time frame required of CONTRACTOR shall be deemed to be reasonable grounds for COUNTY to withhold its consent to assignment. For purposes of this subparagraph, the consent of COUNTY may be given by the Department Director.

The inability of the assignee to provide personnel equivalent in experience, expertise, and numbers to those provided by DISTRICTS, or to perform any of the remaining services required under this MOU within the same time frame required of DISTRICTS shall be deemed to be reasonable grounds for COUNTY to withhold its consent to assignment. For purposes of this subparagraph, the consent of COUNTY may be given by its appropriate point of contact, depending on the nature of services to be rendered.

No Assignments or Subcontracts. The parties agree that no assignment of rights or obligations under this Agreement to any third party is permitted without the prior written consent of both parties. The parties agree further that none of the Consultant’s duties or obligations under this Agreement may be subcontracted without the prior written consent of Fxxxxx Mxx.
