No Association, Joint Venture, Agency or Partnership. This Agreement shall not be interpreted or construed to create an association, joint venture, agency relationship or partnership among the Members or to impose any partnership obligations or partnership liability upon any Member. The duties and obligations of the Members are several and not joint. Notwithstanding anything to the contrary in this Agreement, this Agreement shall at all times be conditioned upon the Members obtaining all regulatory approvals from the appropriate federal, state, and/or local regulatory authorities or agencies that each Member determines, in its sole discretion, to be required to enter into, to perform or consummate the activities contemplated hereunder.

  • No Joint Venture or Partnership Borrower and Lender intend that the relationship created hereunder be solely that of borrower and lender. Nothing herein is intended to create a joint venture, partnership, tenancy-in-common, or joint tenancy relationship between Borrower and Lender nor to grant Lender any interest in the Collateral other than that of secured party, mortgagee or lender.

The composition or the constitution of the joint venture, consortium, or association shall not be altered without the prior written consent of the Procuring Entity.

No party has the authority to enter into any contract or create an obligation or liability on behalf of, in the name of, or binding upon another party to the Contract.
