No Effect on Employee Benefits. Termination by the Corporation under Section 1(a)(1) (termination within one year after a Change in Control), termination by the Executive under Section 1(a)(2) (termination for Good Reason) and termination by the Executive under Section 1(b) (termination during the 30-day period after the first anniversary of a Change in Control) will not affect any rights the Executive may have under any benefit, compensation or incentive agreement, policy, plan, program or arrangement of the Corporation or a Subsidiary, which rights shall be governed by the terms thereof.
