No Exclusive Duty. Each Member may have other business interests and may engage in other activities in addition to those relating to the LLC. Neither the LLC nor any Member shall have any right to share or participate in such other investments or activities of any other Member based on the fact that each are members of the LLC. No Member shall incur any liability to any other Member or the LLC as a result of engaging in any other business or venture.
No Exclusive Duty. Each Manager may have other business interests and may engage in other activities in addition to those relating to the LLC. Neither the LLC nor any Member shall have the right to share or participate in such other investments or activities of such Manager based on such Manager's status as a Manager of the LLC. No Manager shall incur any liability to any Member or the LLC as a result of engaging in any other business or venture.

Member Representatives will not be required to manage the Company as their sole and exclusive function and they may have other business interests and may engage in other investments or activities in addition to those relating to the Company. The Company will not have any right, by virtue of this LLC Agreement, to share or participate in such permitted business interests, investments or activities of a Member Representative, or to the income or proceeds derived therefrom. No Member Representative will incur liability to the Company or to any Member solely by reason of engaging in any such permitted business, investment or activity.

The Contractor shall devote sufficient time, attention, personnel and other resources to perform the Contractor Services, provided, however, the Contractor shall not be required to perform work exclusively for the City and Contractor may have other business interests and may engage in other activities in addition to those relating to the City.

The Total-Tellurian Director shall not be required to devote any particular amount of time or resources to his or her role as a Total-Tellurian Director and the Total-Tellurian Director may have other business interests and may engage in other activities in addition to those relating to Tellurian and its subsidiaries and affiliates, and neither Tellurian, nor Tellurian’s subsidiaries, affiliates or other stockholders shall have any right in or to any of such other ventures or activities or to the income or proceeds derived therefrom. The Total-Magellan Director shall not be required to devote any particular amount of time or resources to his or her role as a Total-Magellan Director and the Total-Magellan Director may have other business interests and may engage in other activities in addition to those relating to Magellan and its subsidiaries and affiliates, and neither Magellan, nor Magellan’s subsidiaries, affiliates or other stockholders shall have any right in or to any of such other ventures or activities or to the income or proceeds derived therefrom.

The Manager is not required to manage the Company as the Manager’s exclusive function and the Manager may have other business interests and may engage in other activities in addition to those relating to the Company. Neither the Company nor any Member will have any right, by virtue of this Agreement to share in such other investments or activities of the Manager or to the income or proceeds derived therefrom. Except as otherwise provided in a Manager’s written agreement with the Joint Venture, a Manager will not be required to manage the Joint Venture as his or her sole and exclusive function and a Manager may have other business interests and may engage in other activities in addition to those relating to the Joint Venture. Neither the Joint Venture nor any Member will have any right, by virtue of this Agreement, to share or participate in such other investments or activities of a Manager or to the income or proceeds derived therefrom. Each Manager and its respective Affiliates may, notwithstanding the existence of this Agreement, engage in whatever activities such Manager or Affiliate may choose, without having or incurring any obligation to offer any interest in such activities to the Joint Venture or to the Members, except those that compete directly or indirectly with the Joint Venture’s business.

Subject to any contractual obligations between or among the Members and Managing Member and/or Affiliate thereof, the Members and Managing Member may have other business interests and may engage in other activities in addition to those relating to the Company. Neither the Company nor any Member shall have any right, by virtue of this Agreement, to share or participate in such other investments or activities of a Member or Managing Member or in any income or revenues derived therefrom.
