No Fee Mortgages. Notwithstanding anything to the contrary contained in the Lease, Landlord shall not hereafter encumber Landlord's reversionary fee interest in the Real Property or any part thereof with a deed of trust, mortgage or other security instrument without the prior written consent of Tenant and Lender, which consent may be withheld unless such encumbrance contains or is accompanied by recognition agreements which adequately protect Tenant's and Lender's interests in the Lease and the Leasehold.
No Fee Mortgages the City shall not encumber the City's Reversionary Estate in the Property or any part thereof with a deed of trust, mortgage or other security instrument except as otherwise expressly permitted pursuant to Section 10.02 of the Lease.

Notwithstanding anything to the contrary contained in the Ground Lease, Landlord represents and warrants that there are no mortgages on, and that Landlord shall not hereafter encumber Landlord's reversionary fee interest in, the real property described in Exhibit A or any part thereof with a deed of trust, mortgage or other security instrument without the prior written consent of Tenant and Lender, which consent may be withheld unless such encumbrance contains or is accompanied by recognition agreements which adequately protect Tenant’s and Xxxxxx’s interests in the Ground Lease and the Leasehold.
