No Finder Fees. No broker or finder has acted on behalf of Buyer in connection with the transactions contemplated hereby.
No Finder Fees. Other than this Agreement, neither the Company nor any of its subsidiaries is a party to any contract, agreement or understanding with any person that would give rise to a valid claim against the Company or any of its subsidiaries, or the Underwriters for a brokerage commission, finder’s fee or like payment in connection with the offering and sale of the Shares or any transaction contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package or the Prospectus.

Except for Rigo Telecommunications, Inc., whose fees shall be the sole responsixxxxty of the Seller, neither the Seller nor any Affiliate thereof has employed any broker, finder, consultant, intermediary or any other Person entitled to a fee in connection with this Agreement or the transactions contemplated hereby and no broker, finder, consultant, intermediary or any other Person is or shall be entitled to a broker's, finder's or similar fee or commission in connection with this Agreement or the transactions contemplated hereby by reason of any agreement with the Seller or any Affiliate thereof.

Except for Spectrum Bridge’s commission paid by Seller, as set forth in Schedule 4.6, and routine commissions paid to Seller’s employees, no broker or finder has acted on behalf of Seller in connection with the transactions contemplated hereby, and no Person engaged by Seller is entitled to a broker’s, finder’s or similar fee in connection with the execution, delivery or performance of this Agreement or the consummation of the transactions contemplated hereby.

Except as set forth in Schedule 4.5, Buyer and Merger Sub have not incurred, nor will Buyer or Merger Sub incur, directly or indirectly, any liability for brokerage or finder fees or agent commissions or any similar charges in connection with this Agreement or the transactions contemplated hereby.

Each Investor agrees to indemnify and to hold harmless the Company from any liability for any commission or compensation in the nature of a finder’s or broker’s fee arising out of this transaction (and the costs and expenses of defending against such liability or asserted liability) for which each Investor or any of its officers, employees or representatives is responsible. The Company agrees to indemnify and hold harmless each Investor from any liability for any commission or compensation in the nature of a finder’s or broker’s fee arising out of this transaction (and the costs and expenses of defending against such liability or asserted liability) for which the Company or any of its officers, employees or representatives is responsible.
