No Further Employment. Executive understands and agrees that he is not entitled to any further or future employment with the Company or further or future compensation and/or payments of any kind from the Company other than those specifically provided for under this Agreement. Executive warrants and represents that he shall not hereafter reapply for or otherwise seek any position of employment with the Company and he shall not institute or participate in any claim, action, lawsuit or proceeding against the Company for any failure to employ or re-employ him after the Effective Date.
No Further Employment. Executive acknowledges that effective as of the Effective Date, any employment relationship between Executive and any Employer Entity shall be thereupon terminated, and that Executive has no future employment relationship with any Employer Entity after the Effective Date, other than the contractual consulting relationship created by this Agreement in Paragraph 4(b). In consideration for the mutual promises made in this Agreement, Executive hereby waives any and all employment rights with each and every Employer Entity, except as otherwise expressly provided in this Agreement.
No Further Employment. I further agree not to seek or accept reinstatement or reemployment or work on a contract basis with the Company. I agree that the Company shall have no obligation to engage my services in any capacity (e.g., employee, contractor, temporary employee or consultant) in the future and that any application or request for employment or work on a contract basis legitimately and lawfully may be denied solely on the basis of a breach of this provision of the Agreement. I further agree that, because of circumstances unique to me, that I am not qualified for reemployment or work on a contract basis with the Company now or in the future. I agree that if I become employed by the Company or work on a contract basis for the Company without having obtained a written waiver of this provision by an executive officer of the Company, I will resign my employment with the Company when asked to do so.
No Further Employment. Executive understands and agrees that after the Separation Date he is not entitled to any further or future employment with the Company or its affiliates or further or future compensation and/or payments of any kind from the Company or its affiliates other than those specifically provided for under this Agreement and the Consulting Agreement. Executive warrants and represents that he shall not institute or participate in any claim, action, lawsuit or proceeding against the Company or its affiliates for any failure to employ or re-employ him after the effective date of the release described in Section 6(b).
No Further Employment. By executing this Agreement and accepting the Severance Payment, I agree not to seek further employment with Modine, directly or indirectly through another entity, including but not limited to a temporary employment agency or independent contractor.
No Further Employment. KXXXXXXXX acknowledges that he was no longer employed with OCULUS INNOVATIVE SCIENCES, INC. as of January 2005. KXXXXXXXX permanently, unequivocally, and unconditionally waives any and all rights KXXXXXXXX may now have, may have had in the past, or may have in the future to obtain or resume employment with DEFENDANT. KXXXXXXXX agrees never to apply for employment with DEFENDANT, their parent, successors, affiliates, and subsidiaries. In the event that KXXXXXXXX is ever mistakenly employed by DEFENDANT, their parent, successors, affiliates, and/or subsidiaries, KELDERMAN agrees to have his employment terminated with no resulting claim or cause of action against DEFENDANT, their parent, successors, affiliates, and/or subsidiaries.
No Further Employment. Xxxxxxx understands and agrees that he is not entitled to any further or future employment with the Company or further or future compensation and/or payments of any kind from the Company other than those specifically provided for under this Agreement. Xxxxxxx warrants and represents that he shall not hereafter reapply for or otherwise seek any position of employment with the Company and he shall not institute or participate in any claim, action, lawsuit or proceeding against the Company for any failure to employ or re-employ him after the Effective Date.
No Further Employment. JIMENEZ hereby agrees and recognizes that as of the Termination Dxxx xxx employment relationship with PANAMCO has been permanently and irrevocably severed and that PANAMCO has no obligation to re-employ him in the future.
No Further Employment. Xx. Xxxxx expressly acknowledges, understands, covenants, and agrees that he will not apply for or seek in any way to be employed, reemployed, or reinstated by Koppers as the Vice President & Chief Financial Officer, or in any other Senior Management role, or in any other capacity not expressly provided for in this Agreement and for the period provided by this Agreement. Xx. Xxxxx acknowledges and agrees that the consulting arrangement will end by its terms on August 3, 2005 and is non-renewable; and Xx. Xxxxx expressly agrees that he is not entitled to, nor will Koppers be obligated, either to extend this arrangement or enter into any other agreement, consulting or otherwise, with him covering any period after that date.
No Further Employment. Executive acknowledges that any employment relationship between Executive and Employer has terminated and that he has no future employment or contractual relationship with Employer or any of its affiliates, predecessors or successors, other than the contractual relationship created by this Agreement. Executive agrees to refrain from applying for employment or any other contractual relationship with Employer or any of its affiliates, predecessors or successors.
