Xxxxxxx Warrants definition

Xxxxxxx Warrants means the warrants issued by the Company to Xxxxxxx, and/or its employees and affiliates, pursuant to the transactions contemplated under the Purchase Agreement.

Xxxxxxx Warrants means the warrants issued by the Company to each of the Xxxxxxx Holders to purchase 926,586 Common Shares each.

Xxxxxxx Warrants means all warrants held by Xxxxxxx or the Xxxxxxx Trust on the date hereof to purchase shares of Common Stock.

Examples of Xxxxxxx Warrants in a sentence

• The Xxxxxx Xxxxxxx Warrants, whether issued alone or as part of a Xxxxxx Xxxxxxx Unit, will have the exercise prices, exercise dates, expiration dates and other terms as set forth in the Prospectus and any Term Sheets.

• The Xxxxxx Xxxxxxx Warrants will be issued pursuant to the Warrant Agreement dated as of November 1, 2004 (as may be amended from time to time, the “Xxxxxx Xxxxxxx Warrant Agreement”) between Xxxxxx Xxxxxxx and The Bank of New York Mellon (as successor to JPMorgan Chase Bank, N.A. (formerly known as JPMorgan Chase Bank)), as Warrant Agent.

• Xxxxxxx Warrants, Netcruise shall cause there to be available, at all times, adequate current public information with respect to Netcruise within the meaning of paragraph (c) of Rule 144 promulgated under the Securities Act of 1933, as amended (or any successor such Rule).

• The Xxxxxx Xxxxxxx Warrants will be issued either alone or as part of a Xxxxxx Xxxxxxx Unit (as described above).

More Definitions of Xxxxxxx Warrants

Xxxxxxx Warrants means the detachable warrants to be issued and sold by Parent pursuant to the terms of the Investment Documents, including any warrants issued upon any transfer, division or combination, or in substitution, thereof.

Xxxxxxx Warrants means the common share purchase warrants of Xxxxxxx.

Xxxxxxx Warrants means warrants to purchase Xxxxxxx Shares;

Xxxxxxx Warrants means the warrants issued by AWL pursuant to the Xxxxxxx Warrant Deed Poll.

Xxxxxxx Warrants means, collectively (as the same now exist or may hereafter be amended, modified, supplemented, extended, renewed, restated or replaced): (A) the Xxxxxxx Series D Warrant, (B) the Xxxxxxx Common Warrant, and (C) the related agreements, documents and instruments to be executed, delivered or filed in connection therewith or with respect to the Common Stock Warrant or the Series D Preferred Warrant

Xxxxxxx Warrants means (i) that certain Amended and Restated Stock Purchase Warrant, dated August 26, 2005, issued by EpiCept to Xxxxxxx Opportunity Fund, L.P. and (ii) that certain Amended and Restated Stock Purchase Warrant, dated August 26, 2005, issued by EpiCept to Xxxxxxx Opportunity Fund (Institutional), L.P., and “Xxxxxxx Notes” means (i) that certain 8% Senior Note Due 2006, dated March 3, 2005, issued by EpiCept to Xxxxxxx Opportunity Fund, L.P. and (ii) that certain 8% Senior Note Due 2006, dated March 3, 2005, issued by EpiCept to Xxxxxxx Opportunity Fund (Institutional), L.P.

Xxxxxxx Warrants shall have the meaning set forth in Section 2.2(a).
