No Governmental Entity of competent jurisdiction shall have (i) issued, granted or enforced any order, injunction or decree or other legal restraint or prohibition (whether temporary, preliminary or permanent) (collectively, “Restraints”), or (ii) enacted, entered, promulgated or enforced any Law that, in each case, has the effect of restraining, enjoining or otherwise prohibiting or makes illegal consummation of the Share and Warrant Purchase or the other Transactions.
