No Governmental or Other Proceeding or Litigation. No order of ------------------------------------------------- any court or administrative agency shall be in effect which restrains or prohibits the transactions contemplated hereby, and no suit, action, investigation, inquiry or proceeding by any governmental body or other person or legal or administrative proceeding shall have been instituted or threatened which questions the validity or legality of the transactions contemplated hereby.

There are no actions or proceedings pending or threatened arising out of or related to the Assets. There is no voluntary action or proceeding affecting the Assets pending or the commencement of which is contemplated by Seller, and to the best knowledge of Seller there is no involuntary action or proceeding pending or the commencement of which is threatened or contemplated affecting the Assets against Seller, under any federal, state or local bankruptcy, insolvency, reorganization, receivership, attachment or other similar law.

The Selling Stockholder represents that, to his best knowledge, no order of any court or administrative agency is in effect which restrains or prohibits the Selling Stockholder from consummating the transactions contemplated hereby, and no suit, action, investigation, inquiry or proceeding by any governmental body or other person or legal or administrative proceeding has been instituted or threatened which questions the validity or legality of the Selling Stockholder's consummation of the transactions contemplated hereby.

CLUSONE represents that, to its knowledge, no order of any court or administrative agency is in effect which restrains or prohibits CLUSONE from consummating the transactions contemplated hereby, and no suit, action, investigation, inquiry or proceeding by any governmental body or other person or legal or administrative proceeding has been instituted or threatened which questions the validity or legality of CLUSONE"s consummation of the transactions contemplated hereby.
No Governmental or Other Proceeding or Litigation. No order of any governmental authority shall be in effect that restrains or prohibits any transaction contemplated by this Agreement or that would limit or affect HSNS's ownership or operation of the Acquired Business; no writ, action, investigation, inquiry or proceeding by any governmental authority shall be pending or threatened against HSNS, Summus or any Stockholder that challenges the validity or legality, or that seeks to restrain the consummation, of the transactions contemplated by this Agreement or that seeks to limit or otherwise affect HSNS's right to own or operate the Acquired Business.

No order of ------------------------------------------------- any court or administrative agency shall be in effect which restrains or prohibits the transactions contemplated hereby or which restricts the right of BANCFIRST to own or operate any part of the business of CENTURY and no suit, action, investigation, inquiry or proceeding by any governmental body shall have been instituted or threatened which questions the validity or legality of the transactions contemplated hereby or which challenges the right of BANCFIRST to own or operate any part of the business of CENTURY.
No Governmental or Other Proceeding or Litigation. No order of any court or administrative agency will be in effect which restrains or prohibits any transaction contemplated hereby or which would limit or otherwise affect in a material respect Ireland’s ownership of CBI; no suit, action or proceeding by any Governmental Entity or other person or entity or investigation by any Governmental Entity, will be pending or, in the case of a Governmental Entity, threatened against Ireland, Sub or CBI, which challenges the validity or legality, or seeks to restrain the consummation, of any transaction contemplated hereby, including the Subsequent Merger, or which seeks to limit or otherwise affect Ireland’s ownership of CBI; and no written advice shall have been received by Ireland, Sub, CBI or their respective counsel from any Governmental Entity, and remain in effect, stating that an action or proceeding will, if the Merger is consummated or sought to be consummated, be filed seeking to invalidate or restrain the Merger or limit or otherwise affect Ireland’s ownership of CBI and there shall not be any action taken, or any statute, rule, regulation or order enacted, entered, enforced or deemed applicable to the Merger, which would (a) make the consummation of the Merger illegal or (b) render Ireland, Sub or CBI unable to consummate the Merger.

(a) No order of any Governmental Agency shall be in effect which restrains or prohibits the transactions contemplated hereby, and no suit, action, investigation, inquiry or other proceeding by any Governmental Agency shall have been instituted or threatened by any Governmental Agency which questions the validity or legality of the transactions contemplated hereby or by the Niagara Purchase Agreement or seeks to impose any liability on any of Seller or Stockholders as a result of the transactions contemplated hereby or by the Niagara Purchase Agreement; and (b) no suit, action or proceeding arising out of or related to this Agreement or the Niagara Purchase Agreement or the transactions contemplated hereby or thereby shall have been instituted before any Governmental Agency.

No order of any court or administrative agency will be in effect which restrains or prohibits any transaction contemplated hereby or which would limit or otherwise affect in a material respect Conceptus's ownership of Microgyn; no suit, action or proceeding by any Governmental Entity or other person or entity or investigation by any Governmental Entity, will be pending or, in the case of a Governmental Entity, threatened against Conceptus, Sub or Microgyn, which challenges the validity or legality, or seeks to restrain the consummation, of any transaction contemplated hereby, including the Subsequent Merger, or which seeks to limit or otherwise affect Conceptus's ownership of Microgyn; and no written advice shall have been received by Conceptus, Sub, Microgyn or their respective counsel from any Governmental Entity, and remain in effect, stating that an action or proceeding will, if the Merger is consummated or sought to be consummated, be filed seeking to invalidate or restrain the Merger or limit or otherwise affect Conceptus's ownership of Microgyn and there shall not be any action taken, or any statute, rule, regulation or order enacted, entered, enforced or deemed applicable to the Merger, which would (a) make the consummation of the Merger illegal or (b) render Conceptus, Sub or Microgyn unable to consummate the Merger.
No Governmental or Other Proceeding or Litigation. No order of any court or administrative agency shall be in effect on the Closing Date or on the Effective Time which restrains or prohibits any transaction contemplated hereby or which would limit or otherwise affect in a material respect the operation of SoundCity following consummation of the sale of the Sold Shares; no suit, action, or proceeding by any governmental body or other person or entity, or investigation or inquiry by any governmental body, shall be pending or, in the case of a governmental body, threatened against MOTG or SoundCity which challenges the validity or legality, or seeks to restrain the consummation, of any transaction contemplated hereby or which seeks to limit or otherwise affect the operation of SoundCity following consummation of the sale of the Sold Shares; and no written advice shall have been received by MOTG or SoundCity or their respective counsel from any governmental body, and remain in effect, stating that an action or proceeding will, if the sale of the Sold Shares is consummated or sought to be consummated, be filed seeking to invalidate or restrain said transaction or limit or otherwise the operation of SoundCity following consummation of the sale of the Sold Shares.
