No Right to Continued Employment or Benefits. No provision in this Agreement shall create any third party beneficiary or other right in any Person (including any beneficiary or dependent thereof) for any reason, including, without limitation, in respect of continued, resumed or new employment with Seller or Buyer (or any Affiliate of Seller or Buyer) or in respect of any benefits that may be provided, directly or indirectly, under any plan or arrangement maintained by Seller, Buyer or any Affiliate of Seller or Buyer. Except as otherwise expressly provided in this Agreement, Buyer is under no obligation to hire any employee of Seller, provide any employee with any particular benefits, or make any payments or provide any benefits to those employees of Seller whom Buyer chooses not to employ.

Except as otherwise expressly provided in this Agreement, the Acquirer is not under any obligation to hire any employee of the Transferor, provide any employee with any particular benefits, or make any payments or provide any benefits to those employees of the Transferor whom a Buyer chooses not to employ.
No Right to Continued Employment or Benefits. Buyer is under no obligation to retain any employees, independent contractors or consultants of the Company or its Subsidiaries, or provide any particular benefits or make any payments to those employees, independent contractors or consultants whom the Buyer chooses to subsequently terminate, except as otherwise required by applicable Law.

Neither Parent nor the Hiring Affiliate is under any obligation to hire or retain any Employee, or provide any Employee with any particular benefits, or make any payments or provide any benefits to those Employees whom the Hiring Affiliate chooses not to employ or subsequently terminates.
No Right to Continued Employment or Benefits. None of Parent, Purchaser or the Company is under any obligation to retain any Employee, independent contractor or consultant, or provide any Employee, independent contractor or consultant with any particular benefits, or make any payments or provide any benefits to those Employees, independent contractors or consultants whom Parent determines shall not be employed or shall be terminated by the Company following the Closing, except as otherwise required by applicable Law and except to the extent, if any, as provided in an Offer Letter provided by Parent to any Employee.

No provision in this Agreement shall create any third-party beneficiary or other right in any employee or former employee of any Seller or in any employee, partner or member or former employee, partner or member of Buyer or Zone Trading (including any beneficiary or dependent of any thereof) in respect of continued employment, partnership or membership (or resumed employment, partnership or membership) with any Seller, Buyer or Zone Trading or in respect of any benefits that may be provided, directly or indirectly, under any plan, agreement or arrangement maintained by any Seller, Buyer or Zone Trading. Except as may be otherwise expressly provided in this Agreement, neither Buyer nor Zone Trading is under any obligation to establish any employment, partnership, membership or other relationship with any employee of the Sellers, provide any Transferred Employee with any particular compensation, distributions or benefits, or make any payments or provide any benefits to any employees of the Sellers.

Purchaser is not under any obligation to hire or retain any Employee, or provide any Employee with any particular benefits, or make any payments or provide any benefits to those Employees whom the Purchaser chooses not to employ or subsequently terminates.
