No Transfer/Encumbrance. (a) Except as otherwise permitted under this Section 7.2, Transfers (as hereinafter defined) shall not be permitted. Any Transfer made in violation of this Section 7.2 shall constitute an Event of Default. Notwithstanding any provision of this Section 7.2 to the contrary, in no event shall a Transfer resulting in a change in control of Borrower or the Property be permitted without Lender's prior written consent, which may be granted or denied in Lender's sole, absolute and unreviewable discretion.

Any action attempted to be taken in violation of the preceding sentence will be null and void. Sponsor agrees with, and covenants to, the Company and SPAC that Sponsor shall not request that SPAC register the Transfer (by book-entry or otherwise) of any certificated or uncertificated interest representing any of the Subject Shares.

  • Transfer or Encumbrance of the Mortgaged Property Subject to Section 50 hereof and except as may otherwise be permitted hereunder or pursuant to the Relevant Documents, Mortgagor shall not sell, convey, alienate, mortgage, encumber, pledge or otherwise transfer the Mortgaged Property or any part thereof or any of its interest therein. C-12 security interests, (iii) any Crossed Mortgage Loan, as set forth on Annex A-1 to the Prospectus or (iv) Permitted Encumbrances. The Mortgage or other Mortgage Loan documents provide that to the extent any Rating Agency fees are incurred in connection with the review of and consent to any transfer or encumbrance, the Mortgagor is responsible for such payment along with all other reasonable fees and expenses incurred by the Mortgagee relative to such transfer or encumbrance.
