During Employee s employment by the Company, and for as long as Employee receives payments from the Company under Section 8.2 of this Agreement, Employee shall not (a) either directly or indirectly, carry on, engage in or have any interest in any business that competes with the Company, excepting ownership by Employee of no more than one percent (1%) of the publicly traded common stock of any corporation, (b) without the express written consent of the Company, accept employment with, or in any other manner agree to provide, for compensation, services for any other person or entity which competes directly or indirectly with the Company, or (c) materially disrupt, damage, impair or interfere with the business of the Company, whether by way of interfering with or soliciting its employees, disrupting its relationship with customers, agents, representatives or vendors, or otherwise.
During Employee s employment he shall not without prior written approval of the board of directors of corporation, directly or indirectly engage in and shall have no interest in any business, firm, partnership or corporation, whether as an employee, officer, director, agent, security holder, creditor, consultant or otherwise, engage in any activity that is the same or similar to, or competitive with any activity now engaged within the primary business of the Corporation or which will be engaged in by the Corporation. The foregoing will not prohibit Employee from investing in public companies.

During Employee s employment he shall not without prior written consent of the board of directors of corporation, directly or indirectly, render services to or for any person, firm, or entity for compensation or engage in research, developing, manufacturing, testing or marketing or otherwise provide processing services for any drug with respect to which the corporation has submitted an Abbreviated New Drug Application, any dosage form of any of the drugs worked on by any employee of the Corporation while Employee was employed by the Corporation or any drug identified by the Corporation for future research and development.
During Employee s employment with Company, Employee shall serve as President of Company and shall have such duties and responsibilities as are assigned to him by the Board of Directors of Company (the "Board") and as are consistent with the magnitude and scope of his duties and responsibilities as of the Effective Time. During Employee s employment hereunder for a term (the "Term") from the date first shown above and ending February 28, 2002, the Company shall pay and provide to Employee the compensation and benefits set forth on Exhibit A, attached hereto and incorporated herein for all purposes. Employer may terminate this Agreement effective at the end of the Term by giving written notice of such election at least two (2) years prior to the end of the Term. If Employer does not elect to so terminate this Agreement, the Term of this Agreement shall be extended automatically by an additional two (2) years. The provisions of the preceding sentence shall thereafter continue in effect until Employer elects to terminate this Agreement in the manner so provided.
During Employee s Term of Employment with Employer, and for a period of one (1) year from the date of expiration or termination of such employment (the "Restricted Period"), Employee covenants and agrees that Employee will not, directly or indirectly, either for itself or for any other person or business entity, (i) solicit any employee of Employer to terminate his employment with Employer or employ such individual during his employment with Employer, or (ii) make any disparaging statements concerning Employer, Employer's Business or its officers, directors, or employees, that could injure, impair or damage the relationships between Employer or Employer's business on the one hand and any of the employees, customers or suppliers of Employer's business, or any lessor, lessee, vendor, supplier, customer, distributor, employee or other business associate of Employer's Business. During the Restricted Period, Employer covenants and agrees that Employer will not, directly or indirectly, either for itself or for any other person or business entity, make any disparaging statements concerning Employee, subject to Employer's regulatory obligations.
During Employee s employment with AEP, Employee shall devote Employee's best efforts, loyalty, and entire working time with AEP to the performance of Employee's duties, and shall not render services to, or enter into an employment, independent contractor, consultancy, or agency relationship with, any person, firm, corporation, other business entity and/or governmental body or agency other than AEP without AEP's express, prior and written consent.
During Employee s active employment by Employer, Lincoln Bancorp shall nominate Employee to successive terms as a member of Lincoln Bancorp's Board of Directors and as Lincoln Bancorp's Vice Chairman. Lincoln Bancorp shall use its best efforts to elect and re-elect Employee as a member of such Board and Vice Chairman. While serving as the Vice Chairman of Lincoln Bancorp and as a director of Lincoln Bancorp, Employee shall be entitled to the same benefits and compensation for services as provided to the Chairman and other employee directors of Lincoln Bancorp. Furthermore, it is anticipated that following retirement of the current President and Chief Executive Officer of Lincoln Bancorp, Employee shall then be appointed to the positions of President and Chief Executive Officer of Lincoln Bancorp.
During Employee s Term of Employment with Employer, and for a period of one (1) year from the date of expiration or termination of such employment (the "Restricted Period"), Employee covenants and agrees that Employee will not, directly or indirectly, either for himself or for any other person or business entity, (i) solicit any employee of Employer to terminate his employment with Employer or employ such individual during his employment with Employer and for a period of one (1) year after such individual terminates his employment with Employer, or (ii) make any disparaging statements concerning Employer, Employer's Business or its officers, directors, or employees, that could injure, impair or damage the relationships between Employer or Employer's business on the one hand and any of the employees, customers or suppliers of Employer's business, or any lessor, lessee, vendor, supplier, customer, distributor, employee or other business associate of Employer's Business.
