Non-Residential Phase. The Rebuilding Plan acknowledged the desire of the Authority and of other stakeholders to pursue complementary non-residential development. The Developer will evaluate the feasibility of smaller retail and commercial space on the ground floor of certain buildings within the Rental Phases and/or of larger-scale non-residential development such as an early childhood center, a grocery store or an adult learning center (a “Non-Residential Phase”). The Developer shall cause its Affiliate, MBS Urban Initiatives CDE (the "CDE") either: (a) to allocate not less than $11,775,000 of New Market Tax Credits ("NMTC") authority for the benefit of a Non-Residential Phase from past or future NMTC allocations available for such purpose, or (b) to make best efforts to secure further NMTC authority for such purpose. If such NMTC authority is available, the Developer will work in good faith with the Authority to create a development plan for a Non-Residential Phase consistent with obligations of the CDE’s NMTC Allocation Agreement. The CDE's commitment and use of the NMTC allocation is subject to: (a) reasonable underwriting determinations by the CDE and its lenders and investors; (b) compliance with NMTC program requirements; (c) timely identification and commitment of gap financing as may be required to make the Non-Residential Phase feasible, and (d) timely use of the allocation in a manner the CDE reasonably determines will allow it to satisfy commitments made in its application. The amount of NMTC committed to the Non-Residential Phase has been established in part based upon 684 new rental units being produced in accordance with (or as described in) the Rebuilding Plan: the CDE may adjust its commitment of NMTC by a corresponding amount if the number of units is reduced or increased, and in no event will be required to make the NMTC available unless and until the Closing by the Developer of so many Rental Phases as may be required to start construction on a total of not less than 220 rental units. The Developer shall notify the Authority within thirty (30) days after the Closing of the first two Residential Phases whether or not it believes a Non-Residential Phase is feasible as of such date, as to allow the Authority to pursue other options for the development of a Non- Residential Phase. The Developer may, in consultation with the Authority, identify a NMTC allocatee other than the CDE to supplement or replace some or all of the CDE's NMTC allocation, in which case the...

  • Preconstruction Phase Services Preconstruction Phase Services shall mean all services described in Article 3.1, and any similar services described in the Request for Proposals, including such similar services as are described in the Construction Manager at Risk’s Response to the Request for Proposals to the extent they are accepted by Owner, but excluding any Early Work. Early Work shall be considered part of Construction Phase Services.

The Design Development Documents shall also include outline specifications that identify major materials and systems and establish, in general, their quality levels.
