Non-Solicitation of Employees and Franchisees. During Employment Period and for the one (1) year period following Executive’s termination of employment with the Company, Executive shall not, directly or indirectly, by himself or through any third party, whether on Executive’s own behalf or on behalf of any other Person or entity, (i) solicit or induce or endeavor to solicit or induce, divert, employ or retain, (ii) interfere with the relationship of the Company or any of its Affiliates with, or (iii) attempt to establish a business relationship of a nature that is competitive with the business of the Company with, any Person that is or was (during the last twelve (12) months of Executive’s employment with the Company) (A) an employee of the Company or any of its Affiliates, (B) engaged to provide services to the Company or any of its Affiliates, including vendors who provide or have provided advertising, marketing or other services to the Company or any of its Affiliates, or (C) a franchisee of the Company or any of its Affiliates.

Non-Solicitation of Employees and Franchisees. During the period of Executive’s employment with the Company and for the eighteen (18) month period following the termination of his employment (for any reason), Executive shall not, directly or indirectly, by himself or through any third party, whether on Executive’s own behalf or on behalf of any other Person or entity, (i) solicit or induce or endeavor to solicit or induce, divert, employ or retain, (ii) interfere with, or attempt to establish a business relationship of a nature that is competitive with the Company’s Business with any person that is or was (during the last ninety (90) days of Executive’s employment with the Company ) an employee or franchisee of the Company (or other retail tax office operated by the Holding Company, the Company or any of the Company’s Subsidiaries, or any of the Company’s franchisees), or a relative or Affiliate of a franchisee, without the express written permission of the Company.

Non-Solicitation of Employees and Franchisees. During the period of Executive’s employment with the Company and for the one (1)-year period following Executive’s Separation from Service with the Company, Executive shall not, directly or indirectly, by herself or through any third party, whether on Executive’s own behalf or on behalf of any other Person or entity, (i) solicit or induce or endeavor to solicit or induce, divert, employ or retain, (ii) interfere with the relationship or potential relationship of the Company or any of its Affiliates with, or (iii) attempt to establish a business relationship of a nature that is competitive with the business of the Company with any Person that is or was (during the last twelve (12) months of Executive’s employment with the Company) (A) an employee of the Company or any of its Affiliates or (B) engaged to provide services to the Company, including vendors who provide or have provided advertising, marketing or other services, or (C) a franchisee of the Company or any of its Affiliates.
Non-Solicitation of Employees and Franchisees. During the period of Executive’s employment with the Company and for the one (1)-year period (or, in circumstances in which Executive receives severance payments pursuant to Section 8(f)(i) hereof, the two (2) year period) following Executive’s Separation from Service with the Company, Executive shall not, directly or indirectly, by himself or through any third party, whether on Executive’s own behalf or on behalf of any other Person or entity, (i) solicit or induce or endeavor to solicit or induce, divert, employ or retain, (ii) interfere with the relationship of the Company or any of its Affiliates with, or (iii) attempt to establish a business relationship of a nature that is competitive with the business of the Company with any Person that is or was (during the last twelve (12) months of Executive’s employment with the Company) (A) an employee of the Company or any of its Affiliates or engaged to provide services to any such entity, or (B) a franchisee of the Company or any of its Affiliates.
Non-Solicitation of Employees and Franchisees. During the period of Executive’s employment with the Company and for the (i) twenty-four (24) month period if the Date of Termination is on or prior to February 7, 2014, (ii) twelve (12) month period if the Date of Termination is after February 7, 2014 but on or prior to February 7, 2016, or (iii) eighteen (18) month period if the Date of Termination is after February 7, 2016, following the termination of his employment (for any reason), Executive shall not, directly or indirectly, by himself or through any third party, whether on Executive’s own behalf or on behalf of any other Person or entity, (i) solicit or induce or endeavor to solicit or induce, divert, employ or retain, (ii) interfere with, or attempt to establish a business relationship of a nature that is competitive with the Company’s Business with any person that is or was (during the last ninety (90) days of Executive’s employment with the Company ) an employee or franchisee of the Company (or other retail tax office operated by the Holding Company, the Company or any of the Company’s Subsidiaries, or any of the Company’s franchisees), or a relative or Affiliate of a franchisee, without the express written permission of the Company.
