Non-Solicitation of Seller’s Employees. For a period of eighteen (18) months following the Closing Date, Purchaser shall not knowingly solicit or employ, or seek to solicit or employ, any employee of Seller who is a store level manager, director level employee or a member of the Seller’s executive team as of the date hereof, to perform services or functions for Purchaser except as contemplated under the shared services agreement. Nothing in this Agreement shall prohibit Purchaser from hiring any such employee or officer of Seller whose employment is subsequently terminated by Seller for any reason.

Non-Solicitation of Seller’s Employees. During the Restricted Period, neither the Purchaser nor the Purchaser Parent shall, and each of them shall cause their respective Affiliates not to, on its own behalf or on behalf of, or together with, any other Person, directly or indirectly, in any capacity whatsoever (including by or through a Connected Person):
Non-Solicitation of Seller’s Employees. Until the earlier to occur of Closing or conversion of the Bankruptcy Cases to a case under Chapter 7 of the Bankruptcy Code, Buyer will not, for a period of six (6) months after the effective date of such termination, directly or indirectly, without the consent of Sellers, (i) employ any person who during the nine months preceding the effective date of such termination of this Agreement was an employee of any Seller, (ii) encourage any employee of any Seller to terminate his or her employment with any Seller, or (iii) enter into any consulting arrangement or other arrangement by which Buyer or any of its Affiliates obtains the services of any person who was an employee of any Seller at any time during the nine-month period preceding the effective date of such termination of this Agreement.
Non-Solicitation of Seller’s Employees. Buyer agrees that, for a period of two (2) years after the Closing, Buyer will not without the prior written consent of Seller recruit, lure or entice away any person who is an employee of Seller to leave the employ of Seller. The prohibitions contained in this Section shall not extend to general solicitations of employment by way of advertisement or other similar methods which are not specifically directed towards employees of the Seller and shall not apply to any person who contacts Buyer requesting employment without first having been contacted by Buyer.
Non-Solicitation of Seller’s Employees. Neither the Shareholder, nor any Affiliate will, directly or indirectly, for itself or for any other Person, firm, corporation, partnership, association or other entity, hire, employ or solicit to employ any employee of the Seller.

THE GRANTEE UNDERSTANDS THAT THIS PARAGRAPH IS NOT INTENDED TO AND DOES NOT PROHIBIT THE CONDUCT DESCRIBED, BUT PROVIDES FOR THE CANCELLATION OF THE UNITS AND A RETURN TO THE COMPANY OF THE SHARES OR THE GROSS TAXABLE PROCEEDS OF THE SHARES IF THE GRANTEE SHOULD CHOOSE TO VIOLATE THIS NON-SOLICITATION OF EMPLOYEES PROVISION DURING THE PERIOD OF RESTRICTION OR WITHIN ONE (1) YEAR AFTER THE SETTLEMENT DATE.

  • Non-Solicitation of Executives During the Non-Compete Term, Executive will not, either directly or indirectly, call on, solicit or induce any other executive or officer of the Company or its affiliates with whom Executive had contact, knowledge of, or association with in the course of employment with the Company to terminate his employment, and will not assist any other person or entity in such a solicitation; PROVIDED, HOWEVER, that with respect to soliciting any executive or officer whose employment was terminated by the Company or its affiliates, or general solicitations for employment not targeted at current officers or employees of the Company or its affiliates, the foregoing restriction shall not apply.
