Examples of Seller’s Employees in a sentence
Seller represents and warrants that neither the Seller, nor any of its officers, directors, employees, agents or representatives (“Seller’s Employees”) have offered or given, nor will Seller’s Employees offer or give, any kickbacks or gratuities to any officer, director, employee, agent or representative of Buyer or Buyer’s customer for the purpose of securing or amending this Contract or securing favorable treatment under this Contract.
Except as set forth on Schedule 4.25, no distributor, contractor, broker, dealer, agent or representative, other than Seller’s Employees, has an oral or written agreement or understanding to sell or otherwise provide Products.
Buyer shall deliver prior to the expiration of the Due Diligence Period a written list of all of Seller’s Employees to be offered employment by Buyer after Closing (“Rehired Employees”).
The Seller’s Employees who have validly objected to the transfer of his or her employment relationship to the Purchaser, irrespective of whether such valid objection was served prior to or after the expiration of a period of one (1) month following receipt by the relevant employee of the Transfer Notice, and have consequently not accepted the Employment Offer and as a result thereof remain employees of the Seller are hereinafter referred to collectively as the “Retained Employees”.
Xxxxxxxxx agrees to make an offer of employment to each of Seller’s Employees on or before the Closing Date; provided, however, that any offer of employment to, and any employment by Purchaser or any of its Affiliates of, a Seller’s Employee are subject to all of Purchaser’s and its Affiliates’, as applicable, standard employment requirements.
