Non-Technical Matters. If a dispute arises between the parties with respect to a non-technical matter, the parties to the dispute agree to resolve the dispute through mediation in accordance with the Mediation Rules of the Law Society of New South Wales published from time to time and are to request the President of the Law Society to select a mediator.

Non-Technical Matters. Each Shareholder shall be entitled to appoint a qualified person to act as arbitrator and, within ten days after receipt of notice that a matter is E-31 <PAGE> being submitted to arbitration, the Shareholders will attempt to agree on the appointment of the arbitrator from JAG. If the Shareholders cannot agree on an arbitrator from JAG, or if the person selected is unwilling or unable to act, the arbitrator shall be appointed by JAG. The person from JAG shall act as chairman of the tribunal. 5.2

  • General Matters The parties hereto agree that they will, in good faith and with their best efforts, cooperate with each other to carry out the transactions contemplated by this Agreement and to effect the purposes hereof.

  • Legal Matters In the opinion of Xxxxxxxx Xx, Authorized Signatory of Prospect Administration, administrator for Prospect Capital Corporation, a Maryland corporation (the “Company”), the certificates evidencing the Notes (the “Note Certificates”) constitute the valid and binding obligations of the Company, entitled to the benefits of the Indenture and enforceable against the Company in accordance with their terms under the laws of the State of New York subject to applicable bankruptcy, insolvency and similar laws affecting creditors’ rights generally, concepts of reasonableness and equitable principles of general applicability (including, without limitation, concepts of good faith, fair dealing and the lack of bad faith), provided that such counsel expresses no opinion as to the effect of fraudulent conveyance, fraudulent transfer or similar provision of applicable law on the conclusions expressed above.   • Transitional Matters (a) From and after Closing, Sellers shall retain full right and authority to use, enforce, pursue remedies and take actions with respect to any of the Excluded Assets.

  • Personnel Matters 7.1 Verbal or written complaints regarding an employee made to any member of the Administration by any parent, student or other person which is to be placed in any personnel file or which may be used to evaluate or discipline an employee shall be promptly investigated.
