Subject to Section 11.1(a), Newco shall be responsible for any severance, any Liability arising out of failure to give requisite notice to any non-U.S. Employee or non-U.S. governmental agencies regarding possible employment transitions to Newco of the Employees or any other Liability arising out of the employment by Newco of, or the failure of Newco to employ any non-U.S. Employee. 12.2
