Non-Waiver of Claims. The Franchisor's consent to a transfer of any interest in the Franchise granted herein shall not constitute a waiver of any claims it may have against the transferring party, nor shall it be deemed a waiver of the Franchisor's right to demand exact compliance with any of the terms of this Agreement by the transferee.
Non-Waiver of Claims. Our consent to a transfer is not a waiver of: (i) any claims we may have against you; or (ii) our right to demand strict compliance by the Transferee with the terms of this Agreement.

Hyatt’s consent to a transfer is not a representation of the fairness of the terms of any contract between Franchisee (or its Owners) and the transferee, a guarantee of the Hotel’s or transferee’s prospects of success, or a waiver of any claims Hyatt has against Franchisee (or its Owners) or of Hyatt’s right to demand the transferee’s full compliance with this Agreement.

OS's consent to a transfer of any interest in this License Agreement, the license granted herein or in HT shall not constitute a waiver of any claims it may have against the transferring party, nor shall it be deemed a waiver of OS's right to demand exact compliance with any of the terms of this Agreement by the transferee.
Non-Waiver of Claims. IF WE CONSENT TO YOUR TRANSFER OF ANY -------------------- INTEREST GRANTED UNDER THIS AGREEMENT, WE DO NOT:
1. WAIVE CLAIMS THAT WE MAY HAVE AGAINST YOU, INCLUDING CLAIMS FOR INDEMNIFICATION; OR
2. WAIVE OUR RIGHT TO DEMAND THAT YOU OR SUCCESSOR COMPLY WITH ANY SECTION OF THIS AGREEMENT OR WITH ANY SUBSEQUENT TRANSFER.
Non-Waiver of Claims. Neither HOA’s consent to any proposed Transfer of any Interest nor HOA’s election not to exercise its option to purchase any Interest shall be deemed to constitute a waiver of any claims HOA may have against the transferor, nor shall it be deemed a waiver of HOA’s right to demand exact compliance with this Agreement or any future rights or options of HOA.
Non-Waiver of Claims. Our consent to a transfer of this Agreement and the Hotel, or an ownership interest in you or your owners, is not a representation of the fairness of the terms of any contract between you (or the owners) and the transferee, a guarantee of the Hotel’s or transferee’s prospects of success, or a waiver of any claims we have against you (or the owners) or of our right to demand the transferee’s full compliance with this Agreement.
