NONPAYMENT DEFAULT. If I do not pay any payment of Principal or interest by the date stated in Section 2 above, I will be in default, and the Lender and the Note Holder may demand that I pay immediately all amounts that I owe under this Note. Even if, at a time which I am in default, the Note Holder does not demand that I pay immediately in full as described above, the Note Holder will still have the right to do so if I am in default at a later time. If there is more than one Note Holder, any one Note Holder may exercise any right under this Note in the event of a default. A default upon any interest of any Note Holder shall be a default upon all interests.

NONPAYMENT DEFAULT. If Tenant shall fail to observe or perform any other term, covenant or condition of this Lease and such failure is not cured by Tenant within a period of ten (10) days after receipt by Tenant of notice thereof from Landlord, unless such failure cannot with due diligence be cured within a period of ten (10) days, in which case such failure shall not be deemed to continue if Tenant proceeds promptly and with due diligence to cure the failure and diligently completes the curing thereof, or
NONPAYMENT DEFAULT. Upon the occurrence of any Specified Senior Nonpayment Default, then, unless and until such default shall have been cured or waived or shall have ceased to exist, no direct or indirect payment (in cash, property or securities or by set-off or otherwise) shall be made or agreed to be made on account of any Subordinated Debt during any period of ninety (90) days after the time a notice of such default shall have been given to the Company by the holders of Senior Debt at the time outstanding; provided that only two such blockage periods of ninety (90) day each may be commenced within any three hundred sixty-five (365) day period.
NONPAYMENT DEFAULT. In the event and during the continuance of any Senior Nonpayment Default in respect of any Senior Debt and prior to the declaration of such Senior Debt to be due and payable prior to its stated maturity, the holders of such Senior Debt may give to both the Company and each holder of Subordinated Debt written notice referring to the Notes and this Agreement and specifying that it is a notice of a Senior Nonpayment Default (a "SENIOR NONPAYMENT DEFAULT NOTICE") and, thereafter, no payment or distribution of any kind or character (whether in cash, Securities or other Property) shall be made on or in respect of any Subordinated Debt, and no holder of Subordinated Debt shall take or receive or retain from the Company, directly or indirectly, in cash, Securities or other Property or by way of set-off or in any other manner, payment of all or any of the Subordinated Debt during the period (a "SENIOR NONPAYMENT DEFAULT BLOCKAGE PERIOD") commencing on the date of receipt by both the Company and each holder of Subordinated Debt of such notice and ending on the earliest of (i) the date of the repayment in full in cash of such Senior Debt, (ii) the date on which such Senior Debt shall have been declared due and payable prior to its stated maturity, (iii) the date on which such Senior Nonpayment Default shall have been cured or waived and written notice thereof received by the Company, (iv) the date on which such holders of such Senior Debt, acting through an agent or otherwise, shall have delivered to the Company and each holder of Subordinated Debt a notice referring to the Notes and the immediately preceding Senior Nonpayment Default Notice and stating that such Senior Nonpayment Default Notice has been withdrawn, or (v) the one hundred eightieth (180th) day following the giving of such Senior Nonpayment Default Notice pursuant to this clause (b). Any number of Senior Nonpayment Default Notices may be given, provided that (i) only one Senior Nonpayment Default Notice may be given with respect to any single occurrence of a Senior Nonpayment Default and (ii) no Senior Nonpayment Default Notice shall be effective at any time to prevent any payment from being made by or on behalf of the Company for or on account of any Subordinated Debt (and any such Senior Nonpayment Default Notice shall be or become null and void ab initio) if, within the three hundred sixty-five (365) day period ending immediately prior to the date on which such Senior Nonpayment Default Notice shall...
NONPAYMENT DEFAULT. A. The buyer understands that Bug*Master, Inc. assumes no liability of any kind under this agreement and that any guarantees set forth herein is invalid and of no force and effect until work contemplated in this agreement has been completed and payment thereof has been made in full.

  • Tenant Default (a) Any of the following occurrences or acts shall constitute an “Event of Default” (herein so called) under this Lease: if (i) Tenant shall fail to pay any scheduled installment of Fixed Rent or Additional Rent when due and such failure shall continue uncured for a period of ten (10) days after Landlord notifies Tenant in writing of such failure (each an “Installment Default Notice”); or if, within a twelve (12) month period following delivery of not less than two (2) Installment Default Notices by Landlord, Tenant shall fail to pay any scheduled installment of Fixed Rent or Additional Rent when due and such failure shall continue uncured for a period of five (5) days or (ii) Tenant shall default in the payment when due of any installment of Additional Rent payable hereunder and such default shall continue for ten (10) days after notice of such default is sent to Tenant by Landlord (or Lender); or (iii) the failure by Tenant to maintain insurance as required under this Lease; or (iv) Tenant shall default in fulfilling any of the other covenants, agreements or obligations of this Lease, and such default shall continue for more than thirty (30) days after written notice thereof from Landlord (or Lender) specifying such default, provided, that if Tenant has commenced to cure a default described in subparagraph (iv) above within said thirty (30) days, and thereafter is in good faith diligently prosecuting same to completion and such default is of a nature such that it cannot be cured within such thirty (30) day period, said thirty (30) day period shall be extended, for a reasonable time (not to exceed an additional ninety (90) days) or, with respect to a breach of Tenant’s obligations under Section 40 of this Part II, such longer period as may reasonably be necessary to cure such default so long as (A) Tenant delivers to Landlord a certificate of a qualified environmental remediation specialist that such default could not be cured within such one hundred eighty (180) days but is curable, and (B) Tenant is in good faith diligently prosecuting such cure to completion) where, due to the nature of a default, it is unable to be completely cured within thirty (30) days; or (v) any execution or attachment shall be issued against Tenant or any of its property whereby the Premises shall be taken or occupied or attempted to be taken or occupied by someone other than Tenant, and the same shall not be bonded, dismissed, or discharged as promptly as possible under the circumstances; or (vi) Tenant or Guarantor (A) shall make any assignment or other similar act for the benefit of creditors, (B) shall file a petition or take any other action seeking relief under any state or federal insolvency or bankruptcy Laws, or (C) shall have an involuntary petition or any other action filed against either of them under any state or federal insolvency or bankruptcy Laws which petition or other action is not vacated or dismissed within sixty (60) days after the commencement thereof; or (vii) the estate or interest of Tenant in the Premises shall be levied upon or attached in any proceeding and such estate or interest is about to be sold or transferred and such process shall not be vacated or discharged within sixty (60) days after such levy or attachment; or (viii) the Guarantor’s guaranty of Tenant’s obligations under this Lease is terminated for any reason, or the Guarantor asserts in any pleading or judicial or administrative proceeding that such guaranty is void or unenforceable or that Guarantor is not liable thereunder; or (ix) any material representation or warranty made by Tenant or Guarantor to Landlord or the Lender herein or in any document delivered pursuant to this Lease is misleading or false in material respect when made, or (x) a default beyond applicable notice and cure periods shall occur in the fulfillment of any of the covenants, agreements or obligations of the tenant under any of the Related Leases and the premises demised thereby are then owned by the entity that is Landlord on the Lease Commencement Date or by one of its Affiliates.

  • Non-Monetary Default The occurrence of any of the following, except to the extent constituting a Monetary Default: (a) any failure of a Party to perform any of such Party’s obligations under this Agreement; (b) any failure of a Party to comply with any material restriction or prohibition in this Agreement; or (c) any other event or circumstance that, with passage of time or giving of Notice, or both, would constitute a breach of this Agreement by a Party.
