Nonsolicitation of Seller Employees. Purchaser covenants and agrees that, except (x) as expressly contemplated by this Agreement and (y) except to the extent otherwise mutually agreed between the parties hereto, for a period of one year following the Closing Date it shall not, and shall cause its Subsidiaries not to, (i) solicit any employee of Seller or any of its Subsidiaries (at a time when such person is an employee of Seller or any of its Subsidiaries or for a period of six months thereafter) to terminate his or her employment relationship with Seller or any of its Subsidiaries or (ii) hire or extend an offer to hire any employee of Seller or any of its Subsidiaries (at a time when such person is an employee of Seller or any of its Subsidiaries or for a period of six months thereafter).

Nonsolicitation of Seller Employees. From the Closing Date and for a period of one (1) year thereafter, Buyer shall not, and shall not permit any of its Affiliates to, directly or indirectly, hire or solicit any employee of Seller or its Affiliates or encourage any such employee to leave such employment or hire any such employee who has left such employment, except pursuant to a general solicitation which is not directed specifically to any such employees; provided that the foregoing shall not prevent Buyer or any of its Affiliates from hiring (x) any employee set forth on Schedule 8.4.2(c), (y) any employee whose employment has been terminated by Seller or the relevant Affiliate thereof; or (z) after 180 days from the date of termination of employment, any employee whose employment has been terminated by the employee.

THE GRANTEE UNDERSTANDS THAT THIS PARAGRAPH IS NOT INTENDED TO AND DOES NOT PROHIBIT THE CONDUCT DESCRIBED, BUT PROVIDES FOR THE CANCELLATION OF THE UNITS AND A RETURN TO THE COMPANY OF THE SHARES OR THE GROSS TAXABLE PROCEEDS OF THE SHARES IF THE GRANTEE SHOULD CHOOSE TO VIOLATE THIS NON-SOLICITATION OF EMPLOYEES PROVISION DURING THE PERIOD OF RESTRICTION OR WITHIN ONE (1) YEAR AFTER THE SETTLEMENT DATE.

  • Company Employees Each Party shall not, directly or indirectly solicit for employment, any employee of the other Party who has been directly involved in the performance of this Agreement during the Term and for one year after the earlier of the termination or expiration of this Agreement or the termination of such individual's employment, with the other Party.
