A Notice of Termination of Employment submitted by the Company may provide for a Date of Termination of Employment on the date Employee receives the Notice of Termination of Employment, or any date thereafter elected by the Company in its sole discretion.
Unless the Committee determines otherwise, any such outstanding Options will be forfeited on the expiration date of such Options or within three years after the Date of Termination of Employment, whichever period is shorter.
Base Salary shall mean the highest annualized rate of Employee’s base compensation in effect at any time during the ninety (90) day period prior to the Date of Termination of Employment, and shall include all amounts of Employee’s base compensation that are reported as income, provided however, that Base Salary shall not include any bonus or any other payment contingent on performance.
These transactions can be entered into for one or several of the following purposes: (i) risk reduction, (ii) cost reduction and (iii) achieving an increase in capital or earnings at a degree of risk that corresponds to the risk profile of the Fund and the provisions on risk diversification applicable to the Fund.
During such period, the number of shares of Stock with respect to which this Option shall be exercisable shall not be determined in accordance with paragraph A.2(b) but shall be determined in accordance with the following formula: Shares Exercisable = [ Total Shares Covered by This Option X Days Elapsed From Date of Grant to Date of Termination of Employment* ] – Prior Exercises 1,095 * Not to exceed 1,095 days.
