Notice of Defaults, Etc. The Collateral Agent shall not be deemed to have actual, constructive, direct or indirect knowledge or notice of the occurrence of any Default or Event of Default unless and until the Collateral Agent has received notice or a certificate from a Secured Party or the Company stating that a Default or Event of Default has occurred. The Collateral Agent shall not have any obligation whatsoever either prior to or after receiving such notice or certificate to inquire whether a Default or Event of Default has in fact occurred and shall be entitled to rely conclusively, and shall be fully protected in so relying, on any notice or certificate so furnished to it. No provision of any Collateral Document shall require the Collateral Agent to expend or risk its own funds or otherwise incur any financial liability in the performance of any of its duties under any Collateral Document or in the exercise of any of its rights or powers, if it shall have reasonable grounds for believing that repayment of such funds or adequate indemnity against such risk or liability is not reasonably assured to it. In the event that the Collateral Agent receives such a notice of the occurrence of any Default or Event of Default, the Collateral Agent shall promptly give notice thereof to each Secured Party Representative. The Collateral Agent shall take such action with respect to such Default or Event of Default as requested by the Requisite Secured Parties, and as otherwise provided herein.

Notice of Defaults, Etc. As soon as possible, and in any event within five (5) days after obtaining knowledge of the occurrence of each Default, Tweeter shall furnish to the Agent the statement of its chief executive officer or chief financial officer setting forth details of such Default and the action which Tweeter and its Subsidiaries have taken or propose to take with respect thereto. Promptly after becoming aware thereof, Tweeter shall give the Agent notice of any event or condition which is likely to have a Material Adverse Effect.

Except in the case of a Default or Event of Default in payment of principal of, premium, if any, Interest or Liquidated Damages on any Note, the Trustee may withhold the notice if and so long as a committee of its Responsible Officers in good faith determines that withholding the notice is in the interests of the Holders of the Notes.

Within 10 days after the first to occur of (i) delivery of an Officer’s Certificate to the Trustee pursuant to clause (I) of Section 11.01(d), (ii) delivery of a notice by the Company pursuant to clause (II) of Section 11.01(d) and (iii) March 15, 2017, in the case that no such Officer’s Certificate or notice described in the foregoing clauses (i) and (ii) have been delivered to the Trustee on or prior to March 15, 2017, transmit by mail to all Holders, as their names and addresses appear in the Security Register, in the case of the foregoing clauses (i) and (ii), copies of such Officer’s Certificate or notice by the Company, and, in the case of clause (iii) notice that the Company has not delivered such Officer’s Certificate or notice pursuant to Section 11.01(d) hereof.
