Notice of Proceedings; Defense of Claims; Limitations. (a) In case any action, suit or proceeding shall be brought against any Indemnitee for which Owner is responsible under this Section 8.1, such Indemnitee shall notify Owner of the commencement thereof and Owner may, at its expense, participate in and to the extent that it shall wish (subject to the provisions of the following paragraph), assume and control the defense thereof and, subject to Section 8.1.5(c), settle or compromise the same.

(1) If any action, suit, or proceeding for which Borrower is responsible under this Section 9.1 is brought against any Indemnitee, such Indemnitee shall notify Borrower of the commencement thereof, and Borrower may, at its expense, participate in and, to the extent that it so desires (subject to the provisions of the following paragraph), assume and control the defense thereof and, subject to Section 9.1(e)(3), settle or compromise it.

(a) If any action, suit, or proceeding for which Lessee is responsible under this ss. 9.1 is brought against any Indemnitee, such Indemnitee shall notify Lessee of the commencement thereof, and Lessee may, at its expense, participate in and, to the extent that it so desires (subject to the provisions of the following paragraph), assume and control its defense and, subject to ss. 9.1.5(c), settle or compromise it. Unless OwneR Participant agrees in writing otherwise, no settlement of any claim hereunder may require Owner Participant to agree to any remedy apart from the payment of money damages (for which such payment of money damages Lessee will in any event indemnify the Indemnitees).

(i) In case any action, suit or proceeding shall be brought against any Secured Party for which the Grantor is responsible under this Section 5.13, such Secured Party shall notify the Grantor of the commencement thereof and the Grantor may, at its expense, participate in and to the extent that it shall wish (subject to the provisions of the following paragraph), assume and, subject to clause (ii) below, control the defense thereof and settle or compromise the same.

(a) In case any action, suit or proceeding shall be brought against any Indemnitee for which the Company is responsible under this Article 6, such Indemnitee shall notify the Company of the commencement thereof and the Company may, at its expense, participate in and to the extent that it shall wish (subject to the provisions of the following paragraph), assume and control the defense thereof and, subject to Section 6.4(c), settle or compromise the same.

(a) If any action, suit, or proceeding for which Owner is responsible under this (S) 7.1 is brought against any Indemnitee, such Indemnitee shall notify Owner of the commencement thereof, and Owner may, at its expense, participate in and, to the extent that it so desires (subject to the provisions of the following paragraph), assume and control the defense thereof and, subject to (S) 7.1.5(c), settle or compromise it.

(i) In case any action, suit or proceeding shall be brought against any Indemnified Party for which the Construction Supervisor is responsible under the Indemnity, such Indemnified Party shall promptly notify the Construction Supervisor of the commencement thereof (provided that the failure to so provide such notice shall not relieve the Construction Supervisor from any liability which it may have to an Indemnified Party pursuant to the Indemnity) and the Construction Supervisor may, at its cost and expense, participate in and to the extent that it shall wish (subject to the provisions of the following paragraph), assume and control the defense thereof, with counsel reasonably satisfactory to such Indemnified Party and, subject to Clause (iii), settle or compromise the same.

(i) In case any action, suit or proceeding shall be brought against any Indemnitee for which LATAM is responsible under this Section 4.03, such Indemnitee shall notify LATAM of the commencement thereof and LATAM may, at its expense, participate in and to the extent that it shall wish (subject to the provisions of the following paragraph), assume and control the defense thereof and, subject to Section 4.03(f)(iii), settle or compromise the same.
