A Settlement. Class Member may request to be excluded from the Settlement Class by sending a written request postmarked on or before the Objection/Exclusion Deadline approved by the Court and specified in the Notice. To exercise the right to be excluded, a Person in the Settlement Class must timely send a written request for exclusion to the Settlement Administrator providing his/her name and address, a signature, the name and number of the case, and a statement that he or she wishes to be excluded from the Settlement Class for purposes of this Settlement. A request to be excluded that does not include all of this information, does not clearly state an intention to be excluded, or that is sent to an address other than that designated in the Notice, or that is not postmarked within the time specified, shall be invalid, and the Person(s) serving such a request shall be a member(s) of the Settlement Class and shall be bound as a Settlement Class Member by this Agreement, if approved. Any member of the Settlement Class who validly elects to be excluded from this Agreement shall not: (i) be bound by any orders or the Final Judgment;
A Settlement. Allocation Score shall be a participant’s aggregate quarter-ending account balance measured in points such that each dollar invested in Proprietary Funds equals four (4) points, and each dollar invested in Non-Proprietary Funds equals one (1) point.2 A participant’s Average Settlement Allocation Score shall be the average of the participant’s Settlement Allocation Scores during the Class Period, weighted by the percentage of days in the quarter for partial quarters at the beginning of the Class Period.3 2 Mathematically stated, each quarterly Settlement Allocation Score calculation is as follows: (Proprietary Funds quarter ending balance * 4) + (Non-Proprietary Funds quarter ending balance).

To be valid, a request for exclusion must be postmarked or received by the date specified in the Notice. A request for exclusion is also called an “opt out.”

A Settlement. Class Member who has submitted a Claim Kit shall provide GAF with any change of address or updated or revised contact information. GAF shall use reasonable diligence to locate any Eligible Claimant whose check is returned as undeliverable. Any funds arising or remaining from any returned or uncashed check shall be GAF’s property. GAF will notify Coordinating Class Counsel of any check that is returned to GAF as undeliverable.
A Settlement. Class Member who submits a timely and valid request for exclusion may rescind her request. To be effective, such rescissions must be in writing, signed by the Settlement Class Member, and submitted not later than 30 days from the Claims Filing Deadline or 30 days from the post mark on the request for exclusion, whichever is later.

  • The Settlement The Settlement was reached on May 11, 2018. Class Counsel filed this action on May 10, 2018. Over two years prior to the filing of this action, Class Counsel and Defendant’s Counsel conducted an adversarial informal discovery process. Class Counsel reviewed and analyzed thousands of pages of documents provided by Defendant and also reviewed many other documents, including U.S. Department of Labor Forms 5500 and other publicly available documents. The Parties participated in mediation before a nationally recognized mediator who has extensive experience in resolving similar claims involving other 401(k) plans. Only after six months of extensive arm’s length negotiation following the mediation were the parties able to agree to the terms of the Settlement. As part of the Settlement, a Qualified Settlement Fund of $17,000,000 will be established to resolve the Class Action. The Net Settlement Amount is $17,000,000 minus any Administrative Expenses, taxes, tax expenses, Court-approved Attorneys’ Fees and Costs, Class Representatives’ Compensation, and other approved expenses of the litigation. The Net Settlement Amount will be allocated to Class Members according to a Plan of Allocation to be approved by the Court. In addition to the monetary component of the Settlement, the Parties to the Settlement have agreed to certain additional terms: (1) During the first eighteen months (18) following the final approval of the Settlement, Defendant has agreed that the Plan’s fiduciaries will conduct a Request for Proposal (“RFP”) process for recordkeeping services to the Plan; (2) Within the first year following final approval of the Settlement, Defendant has agreed to publish a communication to then current Plan participants explaining the risks and benefits of the Plan’s money market fund investment option; (3) Defendant also will use an independent consultant familiar with fixed income investment options in defined contribution plans who will review the investment lineup and make recommendations to the Plan’s fiduciaries regarding whether to retain the money market fund and whether to add a stable value or comparable fund; (4) In addition, during the three- year Settlement period, Defendant has agreed to provide Class Counsel a list of the Plan’s investment options and fees; and (5) In considering investment options for the Plan, Defendant has agreed that the Plan’s fiduciaries will consider: (a) the lowest-cost share class available for any particular mutual fund considered for inclusion in the Plan as well as other criteria applicable to different share classes; (b) the availability of revenue sharing rebates on any share class available for any particular mutual fund considered for inclusion in the Plan; and (c) the availability of collective trusts, to the extent such investments are permissible and are otherwise identical to a particular mutual fund considered for inclusion in the Plan.

  • Gross Settlement Amount Except as otherwise provided by Paragraph 9 below, Defendant promises to pay $750,000.00 and no more as the Gross Settlement Amount and to separately pay any and all employer payroll taxes owed on the Wage Portions of the Individual Class Payments. Defendant has no obligation to pay the Gross Settlement Amount (or any payroll taxes) prior to the deadline stated in Paragraph 6.1 of this Agreement.
