Notice of Prospective Breach. Each party shall immediately notify the other parties in writing upon the occurrence, or failure to occur, of any event, which occurrence or failure to occur would be reasonably likely to cause (i) any representation or warranty contained in this Agreement to be untrue or inaccurate in any material respect at any time from the date of this Agreement to the Closing as if such representation and warranty were made at such time or (ii) any material failure of any party hereto or any officer, director, employee or agent thereof, to comply with or satisfy any covenant, condition or agreement to be complied with or satisfied by it under this Agreement.

The Sellers shall give prompt written notice to Purchaser, and Purchaser shall give prompt written notice to the Sellers, of (i) the occurrence, or failure to occur, of any event that would be reasonably likely to cause any of their respective representations or warranties contained in this Agreement to be untrue or inaccurate in any material respect at any time from the date hereof to the Closing Date (or, in the case of any representation or warranty already qualified as to materiality, untrue or inaccurate in any respect), and (ii) any failure on their respective parts to comply with or satisfy, in any material respect, any covenant, condition or agreement to be complied with or satisfied by any of them under this Agreement. The delivery of any notice pursuant to this Section 7.5 shall not, and shall not be deemed to, modify, amend or supplement the representations, warranties, covenants or agreements of the parties or the conditions to the obligations of the parties under this Agreement or to prevent or cure any misrepresentation, breach of warranty or breach of covenant.
