Notice to Rating Agencies and the Guarantor. The Trustee shall use its best efforts promptly to provide notice to the Rating Agencies and the Guarantor with respect to each of the following of which it has actual knowledge: (1) Any amendment to this Agreement; (2) The occurrence of a Servicer Event of Default that has not been cured or waived; (3) The resignation or termination of the Servicer or the Trustee; (4) The repurchase or substitution of Mortgage Loans pursuant to or as contemplated by Section 2.03; (5) The final payment to the Holders of any Class of Certificates; (6) Any change in the location of the Collection Account or the Distribution Account; (7) The Trustee, were it to succeed as the Servicer, is unable to make advances regarding Delinquent Mortgage Loans; and (8) The filing of any claim under the Servicer’s blanket bond and errors and omissions insurance policy required by Section 3.14 or the cancellation or material modification of coverage under any such instrument. In addition, the Trustee shall make available to each Rating Agency and the Guarantor copies of each report to Certificateholders described in Section 4.02 and the Servicer, as required pursuant to Section 3.20 and Section 3.21, shall make available to each Rating Agency copies of the following: (1) Each annual statement as to compliance described in Section 3.20; and (2) Each annual independent public accountantsservicing report described in Section 3.21. The resignation or termination of the Master Servicer, the Trustee or the Securities Administrator; 4. The repurchase or substitution of any Mortgage Loans; 5. The final payment to Certificateholders; and 6. Any change in the location of the Distribution Account. (b) In addition, upon written request from the Guarantor, the Securities Administrator and the Master Servicer shall provide copies of all notices and reports furnished by any party to this Agreement to the Securities Administrator and the Master Servicer or any notices and reports sent to any party to this Agreement by the Securities Administrator or the Master Servicer.

  • Designation of the Trust, the Notes, the Funding Agreement and the Guarantee The Trust created by the Trust Agreement and referred to in the Indenture is the Principal Life Income Fundings Trust specified in the Omnibus Instrument. The Notes issued by the Trust and governed by the Indenture shall be the Notes specified in the Pricing Supplement. The Funding Agreement designated hereby is the Funding Agreement designated in the Pricing Supplement dated as of the Original Issue Date between the Trust and Principal Life. The Guarantee designated hereby is the Guarantee dated as of the Original Issue Date of PFG.

Each of the Company and the Guarantors hereby acknowledges that the only information that the Underwriters through the Representatives have furnished to the Company expressly for use in the Registration Statement, any Issuer Free Writing Prospectus, any Preliminary Prospectus or the Prospectus (or any amendment or supplement thereto) are the statements set forth in the eleventh paragraph (beginning “Neither we nor any of the underwriters...”) under the caption “Underwriting” in the Prospectus. The indemnity agreement set forth in this Section 7(b) shall be in addition to any liabilities that each Underwriter may otherwise have.
