Notification and Survival. The Standby Account Bank undertakes to notify the Guarantor and the Bond Trustee immediately if, at any time during the term of this Agreement, any of the statements contained in Section 8.1 ceases to be true. The representations, warranties and covenants set out in Section 8.1 shall survive the signing and delivery of this Agreement.
Notification and Survival. The indemnification provided in Sections 6.1 and 6.2 above is cumulative of any other remedies or rights the indemnified parties may have and is expressly conditioned upon timely receipt by the indemnifying parties of written 5 187 notice of a claim pursuant thereto within one hundred eighty (180) days following the date the indemnified parties become aware of the same.
Notification and Survival. The Standby Account Bank undertakes to notify the Guarantor and the Bond Trustee immediately if, at any time during the term of this Agreement, any of the statements contained in Section 8.1 ceases to be true; provided that a failure on the part of the Standby Account Bank to so notify the Guarantor or Bond Trustee in the event of a breach of a representation, warranty or covenant in Section 8.1(d) or Section 8.1(f) to 8.1(i) shall not constitute a breach of this Agreement. The representations, warranties and covenants set out in Section 8.1 shall survive the signing and delivery of this Agreement.
Notification and Survival. The Indemnified Party shall give prompt and timely written notice to the indemnifying party of any claim for which an Indemnified Party seeks indemnity herein, and the indemnifying party shall defend against same with counsel reasonably acceptable to the Indemnified Party. The Indemnified Party shall cooperate in the defense of the claim to the extent reasonable and practicable under the circumstances. The provisions of Section 9 shall survive the termination of this Agreement.
