Notification of Claims 6. 3. Oznamování pohledávek The Institution and the Investigator shall immediately serve a notice in writing to the Sponsor about any investigation, claim or legal proceedings related to the Study against the Institution, the Investigator, the Study Personnel or other staff in connection with the Study. The Institution and the Investigator shall fully cooperate in all reasonable aspects upon request of the Sponsor in the investigation and/or defense of these claims or lawsuits. Zdravotnické zařízení a zkoušející budou na žádost zadavatele plně spolupracovat ve všech přiměřených ohledech ve věci vyšetřování a/nebo obhajoby u těchto pohledávek nebo soudních řízení.

Notification of Claims 6. 3 Omezení odpovědnosti Žádná strana nebude odpovědná smluvně (včetně na základě žádného zproštění odpovědnosti), za škodu (včetně nedbalosti), porušení statutárních povinností ani jiným způsobem za: a) ušlý zisk či obchod, ztrátu úspor, ztrátu dobrého jména firmy, ztrátu času nebo plýtvání časem vedení nebo ztrátu času zaměstnanců, ztrátu práva užívání, příležitosti, ztrátu nebo znehodnocení údajů či ztrátu kontraktů (ať již se bude v jednotlivých případech jednat o přímé nebo nepřímé ztráty); b) zvýšení nákladů či výdajů; nebo c) nepřímé, následné nebo penální škody jakéhokoli druhu včetně zejména mimo jiné jakýchkoli nepřímých ztrát v důsledku nedbalosti či porušení smlouvy nebo vzniklých jiným způsobem, a to i když odpovědná strana byla upozorněna na pravděpodobnost této následné ztráty nebo tohoto typu následné ztráty, nebo o ní věděla. Žádná část této Smlouvy neomezuje ani nevylučuje odpovědnost kterékoli strany za smrt nebo osobní újmu způsobenou nedbalostí této strany, za podvod či jakoukoli jinou odpovědnost, jež ze zákona nemůže být vyloučena. 6.4

  • Notification of Claims In order that the indemnification provisions contained in this Section shall apply, upon the assertion of a claim for which either party may be required to indemnify the other, the party seeking indemnification shall promptly notify the other party of such assertion, and shall keep the other party advised with respect to all developments concerning such claim. The party who may be required to indemnify shall have the option to participate with the party seeking indemnification in the defense of such claim or to defend against said claim in its own name or in the name of the other party. The party seeking indemnification shall in no case confess any claim or make any compromise in any case in which the other party may be required to indemnify it except with the other party’s prior written consent.

If advance payment of all or a portion of the Grant funds is permitted by statute or regulation, and the State agrees to provide such advance payment, advance payment shall be made only upon submission of a proper claim setting out the intended purposes of those funds.
