Common use of NOTIFICATION OF PERSONNEL COST CHANGES Clause in Contracts

NOTIFICATION OF PERSONNEL COST CHANGES. With respect to Direct Employees performing services for Meridian Audit, if UWS adopts or implements any change in compensation, employee benefit plans, or any other fringe benefit that results in higher Total Personnel Costs (as defined at Section 3.a.i) than those in existence as of the date of this Agreement, UWS shall provide Meridian Audit with written notice at least 30 days before such change becomes effective (unless such change is required by law, in which case Meridian Audit will be notified as soon as possible), describing such new benefit and the projected increase in the Total Personnel Costs.

With respect to Direct Employees performing services for Meridian AuditIRS, if UWS adopts or implements any change in compensation, employee benefit plans, or any other fringe benefit that results in higher Total Personnel Costs (as defined at Section 3.a.i4.a.i) than those in existence as of the date of this Agreement, UWS shall provide Meridian Audit IRS with written notice at least 30 days before such change becomes effective (unless such change is required by law, in which case Meridian Audit IRS will be notified as soon as possible), describing such new benefit and the projected increase in the Total Personnel Costs.

With respect to Direct Employees performing services for Meridian AuditConsulting, if UWS adopts or implements any change in compensation, employee benefit plans, or any other fringe benefit that results in higher Total Personnel Costs (as defined at Section 3.a.i) than those in existence as of the date of this Agreement, UWS shall provide Meridian Audit Consulting with written notice at least 30 days before such change becomes effective (unless such change is required by law, in which case Meridian Audit Consulting will be notified as soon as possible), describing such new benefit and the projected increase in the Total Personnel Costs.
