Lease of Employees. During the Term (as defined below), Mediaco shall lease from Emmis the employees set forth on Exhibit A (such employees, together with any replacement employees to those on Exhibit A and any other subsequently hired employees to which Mediaco has consented, the “Leased Employees”) to perform the certain services for Mediaco as reasonably requested by, and at the direction of, Mediaco (the “Services”), consistent with the terms of the Management Agreement. Leased Employees shall exclusively dedicate their full time and attention to the Services to the extent consistent with each Leased Employee’s past practice, except with respect to any Leased Employee who at Emmis’ cost will continue to provide support to Emmis’ operations other than the Stations, consistent with past practice and not to unreasonably interfere with any such Leased Employee’s services to the Stations (any such support, the “Support Services”).
Lease of Employees. Lessor agrees to lease to Lessee, and Lessee agrees to lease from Lessor, the Leased Employees as required for operation of its business commencing on the Effective Date and continuing until termination of this Agreement pursuant to Section 4. Lease of Employees. Schedule 6.1 sets forth a true, correct and complete list of the supervisory, production, sales and clerical employees presently employed by Quincy in its mushroom processing and sales operation, including their current rates of pay and benefits. All production employees, who are (or will become) engaged in mushroom processing and packaging functions at Quincy Farms (the "Production Employees"), are subject to a collective bargaining agreement, dated July 20, 1999, with the United Farm Workers of America, AFL-CIO (the "Collective Bargaining Agreement"), a true, correct and complete copy of which is attached hereto as Schedule 6.2. Quincy hereby agrees to retain, and not terminate, all Production Employees selected by Modern Sales for employment and, commencing on the Closing Date, will lease all such personnel (the "Leased Production Employees") to Modern Sales pursuant to the terms of a form of labor resolution agreement which is attached hereto as Schedule 6.3 (the "Labor Resolution Agreement"). The term of the Labor Resolution Agreement shall commence two (2) days following the Closing Date and shall continue through the end of the specified term of the Collective Bargaining Agreement (the "Employee Leasing Term"). Modern Sales will not do any act, or fail to take any action, which would cause a violation of the Collective Bargaining Agreement.

Lease of Employees. (a) Commencing on the Closing Date and continuing until June 15, 2000 unless earlier terminated by Purchasers in accordance with Section 7.1(b) (the "Transition Period"), Sellers shall continue the at will employment of all "actively employed" employees of the Business listed on Schedule 4.9(a) and shall cause Titan Wheel Corporation of South Carolina ("Titan South Carolina") to continue the at will employment of all "actively employed" employees of the Greenwood, South Carolina facility (the "Greenwood Facility") (subject to any employee's right to resign) and Sellers and Titan South Carolina (collectively, "Lessors"), each as an independent contractor, shall lease those employees (the "Leased Employees") to Purchasers to continue to render the services rendered to the Business and the Greenwood Facility immediately prior to the Closing Date. During the Transition Period, the Leased Employees shall remain employed by the Lessors on the same terms and conditions existing immediately prior to the Closing Date and shall continue to participate in the Lessors' benefit plans. Lessors shall invoice and Purchasers shall pay on a monthly basis an amount equal to (i) Lessors' total, direct out-of-pocket cost for wages, salary and prorated commissions for such employees, (ii) an amount equal to Lessors' obligations in respect of insurance premiums for group insurance policies and worker's compensation, 401(k) contributions, Medicare payments and other benefit plan liabilities (to the extent such plans have been identified on Schedule 4.19) and (iii) Lessors' actual payments in respect of FICA and FUTA for such employees.
(b) The Purchasers shall have the right to terminate the lease arrangement described in Section 7.1(a) prior to June 15, 2000 by providing Sellers with ten (10) days prior written notice of termination.
(c) On the last day of the Transition Period (the "Transition Date"), Carlisle shall offer employment on an at-will basis to at least seventy-five percent (75%) of all "actively employed" employees of the Business and the Greenwood Facility on the Transition Date, calculated on a facility-by-facility basis. All employees who accept Carlisle Tire's offer of employment are hereinafter collectively referred to as the "Transferred Employees." Lease of Employees. United Solar and Bekaert shall lease certain of their employees to the Company pursuant to the terms and conditions of Employee Lease Agreements.
Lease of Employees. Upon the Closing, Seller agrees to lease to FCNY and FCNY agrees to lease from Seller all of Seller's employees as of the Closing Date, other than those employees set forth in Schedule 2.3(a)(iv), pursuant to an agreement between Seller and FCNY to be entered into prior to or at the Closing (the "Transition Services Agreement"), substantially in the form of Exhibit D hereto.
