Notification of Taxing Authorities. In conjunction with the Closing, the Acquiring Participants and the Exiting Participants will work together to provide timely notification to taxing authorities of the Closing and will use commercially reasonable efforts to have any taxing authority imposing any taxes or assessments on or with respect to the Project assess and levy such taxes or assessments directly against each Party in accordance with its respective Ownership Interest in the property taxed. The manner of making such notifications will be addressed in the Closing Statement.

Notification of Taxing Authorities. Except as otherwise provided in Section 8.4, Seller shall notify any Taxing Authority of the transactions contemplated by this Agreement in the form and in the manner required by applicable Tax law and regulations in any Taxing Jurisdiction, if the failure to make such notifications or receive any available tax clearances would subject Purchaser to any Taxes of Seller or its Affiliates.

  • Authorization of Governmental Authorities No action by (including any authorization, consent or approval), in respect of, or filing with, any governmental authority or regulatory body is required for, or in connection with, the valid and lawful authorization, execution, delivery and performance by it of this Agreement, subject to, in the case of the Debtors, the entry by the Bankruptcy Court of the Approval Order.
