Tax Clearances definition

Tax Clearances as defined in Section 5.9.
Tax Clearances means the DTT Clearance, the Status Clearance, the TAAR Tax Clearance and the VAT Clearance;
Tax Clearances means the certificate(s) issued by the Philippine Bureau of Internal Revenue confirming payment of the applicable Transaction Tax due on the sale and purchase of the Sale Shares and authorizing the registration of the Sale Shares in the name of the Purchaser in the stock and transfer books of the Company. “Tax Indemnity” has the meaning ascribed to it in clause 13.3(e).

  • A copy of Sub-Grantee Tax Clearance(s), Debarment Memorandum(s), and the signed Sub-Grantee Acknowledgement Form (OGC-1012), must be submitted with this ▇▇▇▇ for approval.

More Definitions of Tax Clearances

Tax Clearances means and includes all certificates of any kind or nature issued by the applicable Governmental Entity including any agency or political subdivision thereof (including any Tax Authority), to the extent that such certificates indicate either: (x) that all Taxes of Seller have been paid in full; or (y) the final and full amount of Taxes that must be paid by Seller.
