NOTIFICATION TO RATING AGENCIES. The Trustee shall give prompt notice to the Rating Agencies of the occurrence of any of the following events of which it has received notice: (1) any modification or amendment to this Agreement, (2) any change of the Trustee, the Servicer or Paying Agent, (3) any Event of Default or waiver of an Event of Default, (4) that any superior lienholder has accelerated or intends to accelerate the obligations secured by a Prior Lien, and (5) the final payment of all the Certificates. The Servicer shall promptly deliver to the Rating Agencies a copy of each of the Servicer's Certificates. Further, the Servicer shall give prompt notice to the Rating Agencies if the Servicer or any of its affiliates acquire any Certificates.

The Indenture Trustee shall give prompt notice to the Rating Agencies of the occurrence of any of the following events of which it has received notice: (1) any modification or amendment to this Agreement, (2) any change of the Indenture Trustee, the Servicer or Paying Agent, (3) any Event of Default, and (4) the final payment of all the Notes. The Servicer shall promptly deliver to the Rating Agencies a copy of each of the Servicer's Certificates. Further, the Servicer shall give prompt notice to the Rating Agencies if the Servicer or any of its affiliates acquire any Notes.

Further, the Representative shall give prompt notice to the Rating Agencies if the Representative or any of its affiliates acquire any Notes, which notice shall acknowledge that the Representative, or such affiliate understands that such Notes so acquired will not be entitled to the benefits of the Note Insurance Policy and, accordingly, will not be rated by the Rating Agencies so long as such Notes are owned by the Representative or any such affiliate.
NOTIFICATION TO RATING AGENCIES. Either the Borrowers or the Administrative Agent shall have notified Xxxxx'x and S&P in writing of this amendment and restatement of the 1996 Credit Agreement provided for hereby.
