Obligations of the Escrow Holder. Escrow Holder (i) shall not be under any duty to give the Escrow Deposit any greater degree of care than it gives its own similar property and (ii) does not have and will not have any interest in the Escrow Deposit but is a mere holder thereof, and will show the amount deposited thereon as property subject to this Agreement, with the sole exception that Escrow Holder’s fees related to the Escrow Deposit as described in Section 3.2(b) which shall be deducted from the Escrow Deposit prior to release to the Company.
