Common use of Obligations Clause in Contracts

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board.

For During such time as the duration of Executive is employed by the Employment TermCompany, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any material direct or indirect remuneration without the prior approval of the Board.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Boardthat would impact in any material respect his ability to perform his duties and obligations hereunder.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board (which approval will not be unreasonably withheld); provided, however, that Executive may, without the approval of the Board, serve in any capacity with any civic, educational or charitable organization, or as a member of corporate Boards of Directors (but in all cases subject to Section 10).

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the BoardCEO (which approval will not be unreasonably withheld); provided, however, that Executive may, without the approval of the CEO, serve in any capacity with any civic, educational or charitable organization, or as a member of corporate Boards of Directors (but in all cases subject to Section 10).

During While Executive is employed by the Employment TermCompany, Executive will (i) perform his or her duties faithfully and to the best of his or her ability and will devote his or her full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees and (ii) not to actively engage in any other employment, occupation or consulting activity for any material direct or indirect remuneration without the Board’s prior approval of the Boardapproval.

During the Employment Term, Executive will perform his duties to the Company and Parent faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation employment or consulting activity for any direct or indirect remuneration without the prior approval of the Board.

Obligations. During the Employment TermExecutive's employment with the Company, Executive will perform his duties faithfully and to the best of his ability and will shall devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other position of employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the BoardBoard during his employment with the Company; with the exception of Executive’s on going responsibilities and business activities with Cobalis, Inc .

Obligations. During the Employment TermExecutive's employment with the Company, Executive will perform his duties faithfully and to the best of his ability and will shall devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board during his employment with the Company; provided, however, that Executive may serve in any capacity with any civic, educational or charitable organization, upon which Executive currently serves, without the approval of the Board.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the BoardBoard (with Executive recusing himself from such vote.)

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his Executive’s full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation occupation, or consulting activity for any direct or indirect remuneration without the prior approval of the BoardCEO (which approval will not be unreasonably withheld); provided, however, that Executive may, without the approval of the CEO, serve in any capacity with any civic, educational, or charitable organization, provided such services do not interfere with Executive’s obligations to Company.

For the duration of the Employment TermPeriod, Executive agrees not to actively engage in any other employment, occupation occupation, or consulting activity for any direct or indirect remuneration without his Manager’s prior written approval and subject to the prior approval approvals required by the Conflict of Interest Policy for employees of the BoardCompany.

Obligations. During the Employment Term, Executive will perform his the duties assigned to him faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board. Notwithstanding this subsection, Executive may serve on the board of directors and the audit committee for Xxxxxxxxx World Industries.

Obligations. During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his their ability and will devote his their full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior written approval of the Board, CEO, or President.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation occupation, consulting or consulting other business activity directly related to the business in which the Company is now involved or becomes involved during the Employment Term for any direct or indirect remuneration without the prior approval of the Board, and Executive will not engage in any other activities that conflict with Executive’s obligations to the Company.

For the duration of the Employment Term, Executive agrees not to actively engage in any other position of employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the BoardBoard during his employment with the Company.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the BoardCompany's Chief Executive Officer.

During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his Executive’s ability and will devote his Executive’s full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the BoardCompany’s Chief Executive Officer. For clarity, service on a not-for-profit board of directors shall not be considered engagement in other employment, occupation or consulting activities.

During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his Executive’s ability and will devote his Executive’s full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the BoardPresident and CEO.

During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his ability and will devote his full business efforts and time to the CompanyExecutive’s ability. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Company’s board of managers or any other equivalent governing body of the Company (the “Board”).

During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his Executive’s ability and will devote his Executive’s full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation occupation, or consulting activity for any direct or indirect remuneration without the prior approval of the Board.Company’s CEO. Executive further agrees to comply with all Company policies currently in existence or that may be adopted by the Company during the Employment Term. ​

During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his Executive’s ability and will devote his Executive’s full business efforts and time to the Company. For the duration of During the Employment Term, Executive agrees to devote substantially all of his business time to the Company and shall not to actively engage in any other material employment, occupation or consulting activity for any direct or indirect with material remuneration without the prior approval written consent of the BoardCEO.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board. The Parties agree that Executive has made certain commitments as specified in Exhibit A attached hereto which shall not constitute breach of this Section 1.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the BoardCEO. Prior to beginning employment with the Company, Executive will review and execute documentation relating to the Company’s policies and practices that are applicable to similarly situated executives of the Company.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation occupation, or consulting activity for any direct or indirect remuneration without the prior approval of the CEO or the Company's Board of Directors (the “Board”).

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will shall devote his full business efforts and time to the Company. For the duration of Executive agrees, during the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board; provided, however, that Executive may serve in any capacity with any civic, educational or charitable organization, or as a member of corporate Boards of Directors or committees thereof upon which Executive currently serves.

During such time as the Employment TermExecutive is employed by the Company, Executive will perform his or her duties faithfully and to the best of his or her ability and will devote his or her full business efforts and time to the Company. For During such time as the duration of Executive is employed by the Employment TermCompany, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any material direct or indirect remuneration without the prior approval of the Board.

Obligations. During the Employment Term, Executive will perform his her duties faithfully and to the best of his her ability and will devote his her full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without previous notification to the prior Board of such activity. The Board has the option of refusing approval of for such outside activity, should it determine that the Boardactivity may negatively impact Executive’s ability to perform under this Agreement.

Obligations. During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his Executive’s ability and will devote his full substantially all of Executive’s business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Boardthat would impact in any material respect Executive’s ability to perform Executive’s duties and obligations hereunder.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the CEO and the Board of Directors (the “Board”).

Obligations. During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his Executive’s ability and will devote his Executive’s full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Company’s Board.

During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his Executive’s ability and will devote his Executive’s full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board.

During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full substantially all of Executive’s business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Boardthat would impact in any material respect Executive’s ability to perform Executive’s duties and obligations hereunder.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the CompanyCompany subject to the provisions of paragraph 5 (“Other Activities”). For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board.

Obligations. During the Employment TermTerm (as defined below), Executive will perform his such duties faithfully and to the best of his ability in accordance with all Company rules and policies. Executive will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively Company and engage in any no other employment, occupation or consulting activity for any direct or indirect remuneration (other than charitable, educational or political activities or board or managerial service that do not materially interfere with Executive’s obligations with the Company) without the prior written approval of the BoardBOARD.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration which would conflict or interfere with the performance of such services without the prior approval of the CEO or the Board.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the CompanyCompany except for ongoing service on boards of directors and advisory boards of which Executive is or becomes a member. For the duration of the Employment Term, Executive agrees not to actively engage in any other competitive employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board.

Obligations. During the Employment Term, Executive will shall perform his Executive’s duties faithfully and to the best of his Executive’s ability and will shall devote his full substantially all of Executive’s business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration which would conflict or interfere with the performance of such services without the prior approval of the COO/CFO, the CEO or the Board.

Obligations. During the Employment Term, Executive will perform his or her duties faithfully and to the best of his or her ability and will devote his or her full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the CEO or the Company’s Board of Directors (the “Board”).

Obligations. During the Employment Term, Executive will perform his his/her duties faithfully and to the best of his ability and will devote his full business efforts and time to the Companyhis/her ability. For the duration of the Employment Term, Executive agrees not to actively directly or indirectly engage or participate in any other employmentactivities while employed with the Company that would conflict with its best interests. Employee warrants and affirms that s/he is not a party to any agreement or contract, occupation such as a confidentiality or consulting activity noncompetition agreement, that limits his/her ability to perform his/her duties for any direct or indirect remuneration without the prior approval of the BoardCompany.

Obligations. During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his Executive’s ability and will devote his Executive’s full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity activity, for any direct or indirect remuneration remuneration, that may create a conflict of interest or interfere with Executive’s duties to the Company, without the prior approval of the BoardCompany’s Chief Executive Officer.

Obligations. During the Employment Term, . Executive will perform his duties faithfully and to the best of his ability and will devote his full business best efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Company’s Chief Executive Officer or the Company’s Board of Directors (the “Board”).

Obligations. During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his Executive’s ability and will devote his Executive’s full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation occupation, or consulting activity for any direct or indirect remuneration without the prior approval of the Board. Executive further agrees to comply with all Company policies currently in existence or that may be adopted by the Company during the Employment Term.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his Executive’s full business efforts and time to the Company and will use good faith efforts to discharge Executive’s obligations under this Agreement to the best of Executive’s ability and in accordance with the Company’s Code of Business Conduct and Ethics. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation occupation, or consulting activity activity, including membership of boards of directors or advisors, for any direct or indirect remuneration without the prior approval of the Board.
