OF BOARD MEMBERS. 12.1 Each Party agrees to vote in whatever manner as shall be necessary to ensure that (i) no director elected by either Party is removed from office, other than for cause, unless such removal is approved by the Party which so appointed that director and (ii) any vacancies created by the resignation, removal or death of a director shall be filled by the Party that appointed such director pursuant to the provisions of this agreement.
12.2 All Parties agree to execute any written consents required to effectuate the obligations of this Agreement.
OF BOARD MEMBERS. Each of the parties hereto will bear the expense of their nominees to the Board of Arbitration and the parties will equally bear the fees and the expenses of the Chairman.
OF BOARD MEMBERS. The parties will equally bear the fees and expenses of the of the Board of Arbitration. If applicable, each party will bear the fees and expenses of its nominees to the Board of Arbitration.
OF BOARD MEMBERS. (1) The number of Board Members shall be a minimum of nine. .
(2) A minimum of three Board Members shall be Council Board Members.
(3) A minimum of three Board Members shall be Tenant Board Members.
(4) A minimum of three Board Members shall be Independent Board Members.
(5) In addition to the above, the Board may appoint the Senior Executives as Board Members subject to the written agreement of the Council, for such period as the Board may determine.
(6) No more than one half of the Board Members shall be Tenants. Not more than one Tenant Board Member shall be a Leaseholder.
(7) No more than one half of the Board Members shall be Local Authority Persons.
(8) In the event that the number of Board Members shall be less than the numbers specified in this Article 13 the remaining Board Members shall use reasonable endeavours to appoint further Board Members but, for the avoidance of doubt, may act notwithstanding there are vacancies in their number.
(9) Notwithstanding any other provisions in these Articles the Council shall have power at any time by notice in writing to the Secretary to remove any Board Member.
(1) The Board may invite the Chair Appointment Panel to appoint one person as either a Tenant Board Member or an Independent Board Member to act as Chair of the Organisation. The Chair shall be recruited following an open selection process to be agreed with the Council, but in any event the chief officer of the Council and the portfolio holder with responsibility for housing may serve on the Chair Appointment Panel.
(2) The Board Member appointed as Chair shall hold office for three years but can be reappointed by the Chair Appointment Panel for one further period of three years.
