Offering Documentation. The Company covenants and agrees to provide the Placement Agent with any and all documentation and/or information requisite to due diligence relating to the Company and the Shares as soon as practicable after the execution and delivery of this Agreement or as requested by the Placement Agent from time to time, provided that the Placement Agent agrees to keep this documentation completely confidential and release only that information as agreed upon between the Placement Agent and the Company.

Offering Documentation. The Company shall, as soon as practicable, prepare offering documentation (the “Offering Documentation”), which shall meet the anti-fraud and other requirements of the federal and state securities laws, be in form and substance reasonably satisfactory to the parties and include the Company’s public documents, an executive summary (including offering terms), investment highlights, risk factors and appropriate updated information.
Offering Documentation. The negotiation, execution and delivery of definitive documentation with respect to the Offering (the “Offering Documents”).
