Officer’s and Shareholder’s Certificate. PSMH and UCMC shall have been furnished with a certificate (dated as of the Closing Date and in form and substance reasonably satisfactory to PSMH and UCMC), executed by the chief executive officer of IMP and by the Shareholder, certifying to the fulfillment of the conditions specified in subsections 7.1 and 7.2 hereof.
Officer’s and Shareholder’s Certificate. The Target must have furnished the Purchaser with a certificate (dated as of the Closing Date and in form and substance reasonably satisfactory to the Purchaser), executed by an executive officer of the Target, certifying to the fulfillment of the conditions specified in subsections 7.1 and 7.2 hereof.
Officer’s and Shareholder’s Certificate. Grandname shall have delivered to A&W certificates dated the Closing Date and signed by the President of Grandname and the representative of the Grandname Shareholders certifying that each of the conditions specified herein applicable to them have been fulfilled.

CMT and Merger Sub shall have been furnished with a certificate (dated as of the Closing Date and in form and substance reasonably satisfactory to CMT), executed by an executive officer of JLLM and by the Shareholder, certifying to the fulfillment of the conditions specified in subsections 7.1 and 7.2 hereof.

JLLM and the Shareholder shall have been furnished with a certificate (dated as of the Closing Date and in form and substance reasonably satisfactory to JLLM and the Shareholder), executed by an executive officer of CMT, certifying to the fulfillment of the conditions specified in subsections 8.1 and 8.2 hereof.
Officer’s and Shareholder’s Certificate. The Company and each of the Shareholders shall have delivered to Purchaser a certificate, dated the Closing Date (and, with respect to the Company, signed by the President and Secretary of such entity) to the effect that (a) they are familiar with the provisions of this Agreement and (b) the conditions specified in Section 5.1 and in Section 5.3(c) have been satisfied.

The Sellers and the --------------------------------------- Shareholder shall have delivered to the Buyer a certificate, dated the Closing Date, executed by the President cf each Seller and an officer of the Shareholder, and certifying to the satisfaction of the conditions specified in Sections 4.1(a), (b), (c) and (h) hereof.

Shoshone and Merger Sub shall have been furnished with a certificate (dated as of the Closing Date and in form and substance reasonably satisfactory to Shoshone and Merger Sub), executed by an executive officer of Bohica and by the Shareholders, certifying to the fulfillment of the conditions specified in subsections 7.1 and 7.2 hereof.
