Ongoing Assistance. Following the termination of Employee’s employment with the Company and its affiliates, Employee agrees to make himself reasonably available, subject to Employee’s other personal and professional commitments and obligations, to provide information and other assistance as reasonably requested by the Company (and, at the reasonable expense of the Company), with respect to pending, threatened or potential claims and other matters related to the business of the Company about which Employee has personal knowledge as a result of Employee’s supervision or other involvement within such claims or matters performed in connection with Employee’s employment. In all events, the Company shall reimburse Employee or pay on Employee’s behalf, all direct expenses incurred (including any travel) in connection with Employee’s fulfillment of the obligations set forth in this Section 7(c).
Ongoing Assistance. Following the termination of the Executive’s employment with the Company and its Affiliates, the Executive agrees to make himself/herself reasonably available, subject to the Executive’s other personal and professional commitments and obligations, to provide information and other assistance as reasonably requested by the Company (and, at the reasonable expense of the Company), with respect to pending, threatened or potential claims and other matters related to the business of the Company about which the Executive has personal knowledge as a result of the Executive’s supervision or other involvement within such claims or matters performed in connection with the Executive’s employment. In all events, the Company shall reimburse the Executive or pay on the Executive’s behalf, all direct expenses incurred (including any travel) in connection with the Executive’s fulfillment of the obligations set forth in this Section 6(i).
Ongoing Assistance. Subject to Executive’s reasonable availability on reasonable notice, Executive shall assist the Company in any internal investigations or administrative, regulatory, judicial or quasi-judicial proceedings. Executive acknowledges that this could involve, but is not limited to, responding or defending any regulatory or legal process, providing information in relation to any such process, preparing witness statements, and/or giving evidence in person on behalf of the Company. FELLC shall reimburse any reasonable out-of-pocket expenses incurred by Executive in connection with fulfilling this obligation.
Ongoing Assistance. We will make Ourselves reasonably available via telephone, emails, teleconferences, website updates, to assist You with questions regarding Your Licensed Business with best endeavors.
Ongoing Assistance. During the operation of Franchisee's business, Franchisor will: (1) inspect the Store as often as Franchisor deems necessary and provide written reports to Franchisee on operations; (2) provide, upon the written request of Franchisee, advisory services pertaining to operation of Franchisee's business; (3) periodically make available to Franchisee all changes, improvements and additions to the Business System to the same extent as made available to other franchisees; (4) provide Franchisee with all supplements and modifications to the Operations Manual; and (5) develop advertising and marketing materials.
Ongoing Assistance. Following the termination of this Agreement, the Executive shall execute any and all documents and take any and all actions which the Company may reasonably request to effect the transition of the projects being worked on by the Executive at the time of termination and, subject to mutual agreement regarding time and compensation, the Executive agrees to make himself available with respect to, and to cooperate in conjunction with, any litigation or investigation arising from events that occurred during the Executive’s employment or provision of services under the Consulting Agreement (whether such litigation or investigation is pending or subsequently initiated) involving the Company or any of its affiliates or other Released Parties (as defined below), including providing testimony and preparing to provide testimony if so requested by the Company or any of its affiliates.
Ongoing Assistance. We may from time to time provide and, if we do, may require that you (or your Operating Principal) and/or your Operating Manager attend and successfully complete ongoing training programs and/or seminars. If we, in our sole discretion, decide to provide such programs and/or seminars during the term of this Agreement, you will not be required to attend more than 8 days of refresher/training programs or seminars per calendar year. All ongoing training programs and seminars provided under this Section will be made available at no cost to you (or your Operating Principal) and your Operating Manager. However, all expenses that you incur in attending such training programs and/or seminars, including, but not limited to, travel costs, room and board expenses, and employees' salaries, if applicable, will be your sole responsibility.
Ongoing Assistance. The Department is available to provide ongoing assistance to NEUs for the NEU's compliance requirements to Treasury. NEUs should review Section 603 of the Social Security Act, Treasury guidance documents (available on Treasury's website), including fact sheets and regularly updated FAQs.
Ongoing Assistance. After the Transition Date, UBS AG shall make available to PSC, free of charge, SBC Warburg Division MDS Employees who do not accept employment with a Designated PSC Entity to continue performing the Additional MDS Services until PSC notifies UBS AG that such employees are no longer needed to perform the Additional MDS Services; provided, however, that UBS AG shall not be in violation of this obligation if it is unable to make a particular SBC Warburg Division MDS Employee available to the Designated PSC Entity due to the death, disability or termination of employment of such employee.
Ongoing Assistance. 15.1. The Employee agrees that he will provide the Company and the Group and any Regulatory Authority and/or appropriate law enforcement authority with such assistance or information as the Company and the Group and any Regulatory Authority and/or appropriate law enforcement authority may reasonably request after the Termination Date. Any reasonable costs incurred in respect of a request made by the Company or any Group Company will be met by the Company or the relevant Group Company, subject to Clause 15.2 below. If required, the Employee will disclose any passwords or other security codes required by the Company or any Group Company to access company information. 15.2. Without prejudice to the generality of Clause 15.1, on request by the Company or the Group or any Regulatory Authority or appropriate law enforcement agency the Employee agrees to make himself available to, and to cooperate with, the Company or the Group or the relevant Regulatory Authority or appropriate law enforcement agency, its or their advisers and any other third party appointed on its or their behalf in any internal or external investigation or administrative, regulatory, judicial or quasi-judicial proceedings or similar. The Employee acknowledges that this could involve, but is not limited to, attending interviews with the Company or any Group Company (or its or their advisers) or any Regulatory Authority or appropriate law enforcement agency, responding to or defending any threatened or actual regulatory or legal process, providing information in relation to any such process, preparing witness statements and giving evidence in person on behalf of the Company or the Group.
